Customer Non-Solicitation. During the period commencing on the Effective Date and ending twelve (12) months after the Termination Date, regardless of the reason for Executive’s termination of employment, the Executive shall not (except on the Company’s behalf during the Executive’s employment with the Company), for purposes of providing products or services that are competitive with those provided by any member of the Company Group, on the Executive’s own behalf or on behalf of any other Person, solicit any customer or client of any member of the Company Group with whom the Executive had contact, solicited, or served within the twelve (12) months prior to the Termination Date.

Customer Non-Solicitation. During the Restricted Period, the Employee shall not in any manner, directly or indirectly, on Employee’s own behalf or on the behalf of any other Person, induce, solicit or attempt to induce or solicit any Customer (i) to do business with a Competing Business, or (ii) to reduce, cease, restrict, terminate or otherwise adversely alter business or business relationships with the Company for the benefit of a Competing Business, regardless of whether the Employee initiates contact for that purpose.
Customer Non-Solicitation. During the period commencing on the Effective Date and ending on the date that is twelve (12) months after the Termination Date, regardless of the reason for the Executive’s termination of employment and regardless of who initiates such termination, the Executive shall not (except on the Company’s behalf during the term hereof), for purposes of providing products or services that are competitive with those provided by the Company or any of its affiliates, directly or indirectly, on the Executive’s own behalf or on behalf of any other person or entity, contact, solicit, divert, induce, call on, take away, or do business with (or attempt to do any of the foregoing) any customer or client of the Company or any of its affiliates (or any person or entity who, during the twelve (12) months prior to the Termination Date, was engaged in mutual contact, discussion or correspondence with the Company in respect of becoming a customer or client of the Company or any of its affiliates) with whom the Executive had contact within the twelve (12) months immediately prior to the Termination Date.
Customer Non-Solicitation. During the term of Executive's employment by Employer and for two (2) years after his termination, Executive shall not directly or indirectly, for himself or for any person, firm or employer, divert, interfere with, disturb, or take away, or attempt to divert, interfere with, disturb, or take away, the patronage of any customers of Employer that obtained or contracted to obtain goods or services from the Employer during the twelve (12) month period immediately preceding the date of Executive's termination with which Executive had contact during the term of Executive's employment by Employer.
Customer Non-Solicitation. During the Non-Competition Period, the Executive shall not, and shall not permit any of his Affiliates to, directly or indirectly, (i) solicit, raid, entice or induce, directly or indirectly, any person or entity that currently is a customer of the Company, to become a customer of any person or entity (other than the Company) for products or services the same as, or competitive with, those products and services as from time to time shall be provided by the Company, or (ii) approach any such person or entity for such purpose or authorize the taking of such actions by any other person or entity or assist or participate with any such person or entity in taking such action.
Customer Non-Solicitation. During the Non-Competition Period, the Employee shall not, and shall not permit any of his Affiliates to solicit, directly or indirectly, any person or entity which (i) is currently a customer or party to any insurance-related contract with the Company and/or its Affiliates, (ii) has been a customer or party to any insurance-related contract with the Company and/or its Affiliates during the two year period immediately preceding such solicitation or (iii) was solicited by the Company and/or its Affiliates during the two year period immediately preceding such solicitation, provided that in the case of (B)(i) above such solicitation diverted or attempted to divert the business of the Company and/or its Affiliates to another person or entity or in the case of (B)(ii) and (B)(iii) above, the business solicited is business in which the Company is currently engaged.
Customer Non-Solicitation. Optionee agrees that, during the period commencing on the Date of Grant and for a period of two (2) years after the date the Optionee ceases to be employed by the Company (the “Non-Solicitation Period”), Optionee shall not, directly or indirectly, on behalf of any competing entity, solicit or attempt to solicit any customer or actively sought prospective customer of the Company, with whom the Optionee had Material Contact during Optionee’s employment with the Company, for purposes of providing products or services that are competitive with those offered by the Company. For purposes of this Agreement, “Material Contact” means the contact between Optionee and each customer or potential customer: (a) with whom or which Optionee dealt on behalf of the Company; (b) whose dealings with the Company were coordinated or supervised by Optionee; (c) about whom Optionee obtained confidential information in the ordinary course of business as a result of Optionee’s association with the Company; or (d) who receives products or services authorized by the Company, the sale or provision of which results or resulted in compensation, commissions, or earnings for Optionee within two (2) years prior to the date of the Optionee’s termination.

Customer Non-Solicitation. Employee will not, during the term of employment hereunder and for eighteen (18) months following termination of such employment for any reason, solicit, divert, take away, or attempt to solicit, divert or take away, any of Employer's customers or the business or patronage of any such customers, either for him/herself or on behalf of any other person, firm, partnership or corporation.

Customer Non-Solicitation. During the Term of this Agreement and for a period of twenty-four (24) months immediately following termination of Employee's employment with the Company for any reason, including, without limitation, voluntary resignation from employment by Employee ("Restricted Period"), Employee shall not, on Employee's own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise, with the exception of Cavaco Sales, Inc for non-competitive product, solicit, contact, or call upon, any customer or prospect of the Company, or any representative of any customer or prospect of the Company, with a view to selling or providing any deliverable or service competitive with the "Business of the Company" (as hereinafter defined), provided that the restrictions set forth in this paragraph shall apply only to identifiable customers or prospects of the Company, or identifiable representatives of customers or prospects of the Company, with which Employee had direct professional contact during the two (2) year period immediately preceding cessation of Employee's employment with the Company. For purposes of this Agreement, the "Business of the Company" means the design, production, licensing, and sale of technologies to enable consumers and businesses (i) to download audio, video and other interactive content from the Internet or private network and (ii) to replay such content on business or home or personal portable and/or automobile entertainment systems, as well as future wireless systems.
