COSTS, CHARGES AND EXPENSES. The Borrower agrees to pay the Agent and the Lenders upon demand (whether or not the Credit Facility or any part thereof is made available hereunder) all reasonable costs, charges and expenses (including legal fees and expenses, as well as travel expenses of the Agent and the Lenders) incurred by the Agent and the Lenders in connection with the negotiation, preparation, execution and enforcement or attempted enforcement of this Agreement, the Note or otherwise in connection with the Credit Facility, as well as in connection with any supplements, amendments, assignments, waivers or consents relating thereto.
