Contracting with Sub-Processors. 8.1 The Data Controller authorizes the Data Processor to engage the sub-processors in the country locations for the Service-related activities specified as described in Section 1.4. Data Processor shall inform the Data Controller of any addition or replacement of such sub-processors giving the Data Controller an opportunity to object to such changes. 8.2 Notwithstanding any authorization by the Data Controller with the meaning of the preceding paragraph, the Data Processor shall remain fully liable vis-à-vis the Data Controller for the performance of any such sub- processor that fails to fulfill its data protection obligations. 8.3 The consent of the Data Controller pursuant to Article 8.1 shall not alter the fact that consent is required under Article 6 for the engagement of sub-processors in a country outside the European Economic Area without a suitable level of protection. 8.4 The Data Processor shall ensure that the sub-processor is bound by the same data protection obligations of the Data Processor under this Data Processing Agreement, shall supervise compliance thereof, and must in particular impose on its sub-processors the obligation to implement appropriate technical and organizational measures in such a manner that the processing will meet the requirements of EU Data Protection Law. 8.5 The Data Controller may request that the Data Processor audit a sub-processor or provide confirmation that such an audit has occurred (or, where available, obtain or assist customer in obtaining a third-party audit report concerning the sub-processor’s operations) to ensure compliance with its obligations imposed by the Data Processor in conforming with this Data Processing Agreement.

Contracting with Sub-Processors. 8.1 The Data Controller authorises the Data Processor to engage sub-processors (Annex 4) for the Service-related activities specified as described in Annex 2. Data Processor shall not add or replace any such sub-processors listed in Annex 4 without giving the Data Controller an opportunity to object to such changes. 8.2 The Data Processor shall not engage in any future subcontracting of its Service-related activities related to the processing of the Personal Data or requiring Personal Data to be processed by any third party without the prior written authorisation of the Data Controller. 8.3 Notwithstanding any authorisations by the Data Controller within the meaning of the preceding paragraphs, the Data Processor shall remain fully liable vis-à-vis the Data Controller for the performance of any such subprocessor that fails to fulfil its data protection obligations. 8.4 The consent of the Data Controller pursuant to paragraphs 8.1 and 8.2 shall not alter the fact that consent is required under Section 6 for the engagement of sub-processors in a country outside the European Economic Area without a suitable level of protection. 8.5 The Data Processor shall ensure that the sub-processor is bound by the same data protection obligations of the Data Processor under this Data Processing Addendum, shall supervise compliance thereof, and must in particular impose on its sub-processors the obligation to implement appropriate technical and organizational measures in such a manner that the processing will meet the requirements of EU Data Protection Law. 8.6 The Data Controller may request that the Data Processor audit a Third Party Subprocessor or provide confirmation that such an audit has occurred (or, where available, obtain or assist customer in obtaining a third-party audit report concerning the Third Party Subprocessor’s operations) to ensure compliance with its obligations imposed by the Data Processor in conformity with this Addendum. 8.7 The Data Processor shall not engage any Subprocessors located outside of European Economic Area without employing an acceptable instrument for cross-border data transfers such as Standard Contractual Clauses or the EU-US Privacy Shield (if the destination is located within the United States).
Contracting with Sub-Processors. Customer hereby gives its general authorisation for Webflow to engage new Sub-processors in connection with the processing of the Personal Data as set forth in clause 9 of the Standard Contractual Clauses. Customer must sign up at the aforementioned URL to receive email notifications concerning the addition of new Sub-processors. Customer may reasonably object to the addition of any new Sub-processor within 15 calendar days of receiving such email notification, in which case Webflow will use reasonable efforts to make a change in the Service or recommend a commercially reasonable change to avoid processing by such Sub-processor. If Webflow is unable to provide an alternative, Customer may terminate the Services and shall pay Webflow any fees or expenses not yet paid for all services provided pursuant to any Services Agreement. If Customer fails to sign up for these email notifications, Customer shall be deemed to have waived its right to object to the newly added Sub- processor(s).

Company may request the Supplier to either audit third-party sub processor or provide confirmation that such an audit has occurred to ensure compliance with its obligations imposed by the Supplier in conformity with this Agreement.

The Data Processor shall ensure that the sub-processor is bound by the same data protection obligations of the Data Processor under these Data Processing Terms.
Contracting with Sub-Processors. Geron acknowledges and agrees that, subject to the provisions set forth herein: (a) PAREXEL’s Affiliates may be retained as Sub-Processors to perform PAREXEL’s obligations to perform Services under the MSA and applicable Work Orders; and (b) PAREXEL and PAREXEL’s Affiliates respectively may contract with third-party Sub-Processors to perform PAREXEL’s obligations to perform Services under the MSA and applicable Work Orders. PAREXEL or a PAREXEL Affiliate shall enter into a written agreement with each Sub-Processor containing data protection obligations not less protective than those in this Addendum with respect to the protection of Subject Personal Data to the extent applicable to the nature of the Services provided by such Sub-Processor.

The Controller acknowledges and agrees that the Processor may subcontract (part of) its activities under the Service Agreement consisting (partly) of the processing of the Personal Data or requiring Personal Data to be processed to any third party (hereinafter to be referred to as: the “Sub-Processor”).‌ 8.2. Processor may appoint or replace Sub-Processors, provided that Processor shall give notice of such changes and Controller does not legitimately object to such changes. Legitimate objections must contain reasonable and documented grounds relating to a Sub-Processor’s non- compliance with applicable data protection legislation. 8.3. The Processor shall be responsible for the services provided by Sub-Processors in accordance with the Service Agreement, to the same extent the Processor would be liable if performing the services directly under the terms of this DPA, except as otherwise set forth in the Service Agreement. 8.4. The Processor shall arrange that Sub-Processors are bound by similar confidentiality obligations as under this DPA. 8.5. Processor shall ensure that Sub-Processors are subject to data protection obligations of at least the same degree as agreed upon in this DPA.
