The related Contract File and the contractual documents contained therein constitute the entire agreement with respect to the Contract between the Obligor and Seller, and there is no verbal understanding or modification, which would affect the terms thereof. Contract File. The Assignor shall deliver to Westlake or WPM by or before the Closing Date, a Contract File for each Contract, which includes:
Contract File. The credit application and investigation, all documents of insurance, and all other documentation in possession of Seller relating to a Contract. Contract Rate: The per annum rate of interest to be paid by an Obligor as provided in a Contract. Cut-off Date: April 7th 2003, after which date Seller will no longer process payments received from or on behalf of Obligors.
Contract File. With respect to a Contract, by the applicable Closing Date, the related Contract File contains the documents required to be contained therein pursuant to this Agreement.
Contract File. As to each Contract other than a Land Home Contract, (a) the original copy of the Contract, (b) the original title document issued to the applicable Contract Owner as secured lender or agent therefor for the related Manufactured Home, unless the laws of the jurisdiction in which the related Manufactured Home is located do not provide for the issuance of any title documents for manufactured housing to secured lenders, (c) evidence of one or more of the following types of perfection of the security interest in favor of the applicable Contract Owner as secured lender or agent therefor in the related Manufactured Home granted by such Contract, as appropriate: (1) notation of such security interest on the title document, (2) a financing statement meeting the requirements of the UCC, with evidence of recording in the appropriate offices indicated thereon, or (3) such other evidence of perfection of a security interest in a manufactured housing unit as is customary in such jurisdiction, (d) the assignment of the Contract from the Manufactured Housing Dealer to the applicable Contract Owner, if any, including any intervening assignments, and (e) any extension, modification or waiver agreement(s). Contract Owner: Bank of America, FSB, (with respect to the Contracts listed on Annex 1 of the Contract Schedule), Bank of America National Trust and Savings Association (which also may include Contracts owned by its wholly-owned subsidiary, Security Pacific Financial Services of California, Inc.) (with respect to the Contracts listed on Annex 2 of the Contract Schedule), Security Pacific Housing Services, Inc., (with respect to the Contracts listed on Annex 3 of the Contract Schedule), and any of their respective successors and assigns. In the event that there is more than one Contract Owner under this Agreement, the rights and obligations of each such Contracts Owner and the Servicer with respect to such Contract Owner hereunder shall only relate to the Contracts owned by such Contract Owner.
Contract File. With respect to each Contract and the related Contract, the original fully executed Contract, the original Certificate of Title or evidence that such Certificate of Title has been applied for, and the original endorsements or assignments showing the chain of ownership of such Contract. Contract Receipt: The Trust Receipt, as defined in the Custodial Agreement.
Contract File. With respect to each Contract, the executed original counterpart of the Contract that constitutes an "instrument" for purposes of 9-105(1)(i) of the UCC, together with a duly executed allonge transferring such instrument to the Agent.
