CLASSIFIEDS. During the perion form the Effective Date until nine months after the effective Date, ICP shall not enter into any long term (i.e, 12 months or more) agreement with respect to the implementation or promotion of any classifieds listing features through the ICP Sites ("Classifieds"). Thereafter, ICP will only enter into any such agreement after first notifying AOL. In addition, ICP and AOL shall also discuss in good faith the integration of the any ICP Classifieds (including any database related to ICP Classifieds) into any AOL classifieds features, on terms and conditions to be agreed upon. Any Content submitted by ICP or its agents within message boards or any comparable vehicles will be subject to the license grant relating to submissions to "public areas" set forth in the Proprietary Rights section of the Terms of Service.

CLASSIFIEDS. No provision of this Agreement shall limit AOL's or its Affiliates' ability (on or off the AOL Network) to continue to promote and populate any classified listings developed by AOL or one of its Affiliates ("CLASSIFIEDS") with other AOL or third party aggregator listings in HS Apartments Listings, or where AOL Users wish to advertise themselves.

ICP acknowledges that it has no rights or interest in AOL Member submissions to message boards, chat rooms or any other vehicles through which AOL Members may make submissions within the AOL Network. ICP will refrain from editing, deleting or altering, without AOL's prior approval, any opinion expressed or submission made by an AOL Member within ICP Programming except in cases where ICP has a good faith belief that the Content in question violates an applicable law, regulation, third party right or the applicable AOL Property's Terms of Service.

ICP shall respond promptly and professionally to questions, comments, complaints and other reasonable requests regarding the ICP Internet Site by AOL Members or on request by AOL, and shall cooperate and assist AOL in promptly answering the same. Statements through AOL Network. ICP shall not make, publish, or otherwise communicate through the AOL Network any deleterious remarks concerning AOL or its Affiliates, directors, officers, employees, or agents (including, without limitation, AOL's business projects, business capabilities, performance of duties and services, or ▇▇▇▇▇ cial position) which remarks are based on the relationship established by this Agreement or information exchanged hereunder. This section is not intended to limit good faith editorial statements made by ICP based upon publicly available information, or information developed by ICP independent of its relationship with AOL, its employees and agents.
