If the vehicle is not operated for an extended period of time, the springs must gradually decrease pressure as the compressed air escapes to the atmosphere. Once the vehicle is powered up the suspension controller must level the vehicle automatically. The system must be equipped with a factory programmable controller. The vehicle must not react to load or road inputs for a minimum of 20 seconds. System must be equipped with a status light as part of the kneel switch which flashes to indicate an error in the system. When stopping for non-wheelchair passengers, operators may choose to maintain the vehicle at its normal ride height. Chassis. When mounting a good on a used chassis, Wabash personnel will conduct a limited inspection of the used chassis only to confirm the existence of useable mounting components and areas. Customer is responsible for ensuring the chassis is road worthy and meets all OEM original specifications. Customer is also responsible for any necessary upgrades, corrections, modifications, or repairs to the chassis, including any resulting delays. When a Wabash bailment chassis is not used, Customer is responsible for ensuring that the chassis has adequate mirrors and frame pucks for mounting the ordered good. Notwithstanding the above, Xxxxxxxx agrees that although Xxxxxx will inspect the chassis, it will not complete a full inspection and such inspection will not necessarily identify or disclose any defects, imperfections, or abnormalities. As such, Customer agrees to indemnify, defend, and hold Xxxxxx harmless from any claims arising from or related to its inspection or any defects, imperfections, or abnormalities in the chassis.

(i) Prior to the date that is 60 days after the Restatement Date (or such later date as agreed to by the Administrative Agent in its sole discretion), (x) each Grantor shall have noted the name and other necessary details in respect of the Administrative Agent on the certificate of title for 100% of such Grantor’s Chassis, subject to any motor vehicle registration statute (each a “Motor Vehicle Statute”), including, without limitation, any of those statutes described in the Uniform Commercial Code §9-311(a)(2), as adopted in any state in which any Grantor holds such Chassis, that are owned by such Grantor, in such manner as shall indicate that a security interest has been perfected in accordance with the Motor Vehicle Statutes adopted in the state where such Chassis are titled, and (y) each Grantor shall have taken or caused to be taken all such other actions necessary, or that the Administrative Agent or the Required Lenders may reasonably request, to perfect, maintain, protect, and enforce the Administrative Agent’s Liens.
