Charged Assets. 13.1 Your securities and any other Assets shall at all times be held by us subject to a general lien and right of set off against your Obligations whether or not we have provided credit, loans or other financial facilities to you in connection with such assets and irrespective of the number of accounts which you may have with us.
Charged Assets. 3.9.1 Unless the Lender shall otherwise agree in writing, the Borrower shall use the Loan solely for the purpose of general working capital. The Lender shall not be under any obligation to concern itself with the application of the Loan.

The assets listed in relevant schedules to the Security Documents are beneficially owned by the relevant Guarantors as indicated in the relevant schedule, are not subject to any Encumbrance (other than a Permitted Encumbrance) and such lists are true and accurate in all material respects and will represent a complete list in all material respects of such categories of assets owned by the Obligors as at the date of the relevant Security Document (except as agreed with the Common Security Trustee prior to the Effective Date).
Charged Assets. Each Obligor is the sole legal and beneficial owner of the Charged Assets over which it purports to grant the Transaction Security, and such Charged Assets are free from any Security, Quasi-Security, claims, third party rights or competing interests (other than the Transaction Security).

On the Issue Date, the Charged Assets will comprise either (i) JPY 5,000,000,000 cash in cleared and freely transferable funds, which shall be deposited into a Cash Account (the “Cash Charged Assets”), or (ii) JPY 5,000,000,000 principal amount of JGBs, as determined by the Swap Counterparty in its sole discretion (such initial Charged Assets, the “Initial Charged Assets”).
