Changes in Pricing. Prior to any pricing discussions with Sxxxxxx Canada’s top five (5) customers and top two (2) buying groups, as measured by the dollar amount of purchases in fiscal year 2005 (collectively, the “Material Customers”), Sxxxxxx Canada shall consult with Sxxxxxx regarding any proposed pricing changes and shall give Sxxxxxx a reasonable opportunity to provide input regarding the same; provided that, in no event shall Sxxxxxx Canada make any pricing reductions with a Material Customer which results in a forecasted decline in the overall gross profit dollars on such Material Customer’s account of five percent (5%) or more for fiscal year 2007 compared to the forecasted overall gross profit dollars for such account for fiscal year 2006 without the prior written consent of Sxxxxxx.
