The Cascade clause establishes a mechanism by which certain rights, obligations, or effects automatically transfer or apply to subsequent parties or agreements in a contractual chain. In practice, this means that if a primary contract is assigned, novated, or otherwise transferred, the relevant terms and conditions will continue to bind or benefit the new parties without the need for renegotiation. This clause is essential for maintaining continuity and consistency in complex contractual arrangements, particularly in multi-tiered transactions, by ensuring that key provisions remain effective throughout the contractual chain.

Cascade. (i) The Bank will send in writing to the First-Ranked Framework Member an Assignment Terms of Reference including at a minimum:
(a) the scope of Services required;
(b) the Closing Date;
(c) the pricing mechanism for the Assignment (fixed price, or time and materials); and
(d) the information required in the Proposal, which may include: • total price for the Assignment; • delivery approach and schedule; • list of proposed team and their CVs; • whether the Framework Member is in a situation of conflicting interests that may negatively affect the performance of the Assignment. • total man/days.
(ii) Any clarifications requested by the Framework Member in relation to an Assignment Terms of Reference shall be submitted in writing by email to the Bank by the deadline date indicated in the Assignment Terms of Reference;
(iii) Proposals shall be in conformance with the fixed terms contained in the Tender such as rates, etc., as updated in accordance with this Agreement.
(iv) The Framework Member shall submit its Proposal to the Bank in writing.
(v) The Bank shall not be responsible for any costs incurred by a Framework Member in the preparation of a Proposal or any required site visit; and
(vi) If the Framework Member does not submit a Proposal, or such Proposal is not in compliance with the Assignment Terms of Reference or is otherwise irregular or unacceptable to the Bank, or if the Framework Member is in a situation of conflicting interests that may negatively affect the performance of the Assignment, the Bank will send the same Assignment Terms of Reference to the Framework Member who is next in ranking in the cascade.

Neither is this policy meant to inhibit free speech or interfere with normal social relations.
Cascade is a company amalgamated and existing under the laws of the province of Quebec, and no proceedings have been taken or authorized by Cascade with respect to (i) the bankruptcy, insolvency, liquidation, dissolution or winding up of Cascade or any of the Subsidiaries, or (ii) with respect to any amalgamation, merger, consolidation, arrangement or reorganization relating to Cascade or any of the Subsidiaries.
Cascade. Local The Training Committee shall review and be consulted regarding the selection of trainees prior to any final selection and announcement. Employees be responsible for completing all company paid training and where applicable passing the required exams. Employees who choose not to complete training or fail to pass required exams or do not apply the training for whatever reason will not be eligible for further paid training except after application to and a recommendationfrom the training committee. Eligible employees shall be licensed and Learners who have adequately completed their logbook and who are in the final six (6) months of their apprenticeship. Should any clause or provision of the Agreement be declared in any way conflict with the laws of the. Province of British Columbia or or any regulation thereof, both parties agree that this Agreement shall automatically be amended to comply with such law or regulation, if the law or regulation so requires. The remainder of this Agreement shall not be affected thereby and shall remain in full force and effect.
Cascade. (a) The Bank will send in writing to the First-Ranked Provider an Assignment Terms of Reference including at a minimum:
i. the scope of Services required;
ii. the Clarifications deadline and the Closure Date;
iii. the remuneration to be paid upon the successful delivery of the tasks based on the rates laid down in this Agreement; and
iv. the information required in the Proposal, which may include Total price for the Assignment; or A description of the approach to perform the Services; or A schedule for delivery of the Services ; or Total man/days.7
(b) Any clarifications requested by the Provider in relation to an Assignment Terms of Reference shall be submitted in writing by email to the Bank by the deadline date indicated in the Assignment Terms of Reference; 8
(c) Proposals shall be in conformance with the fixed terms contained in the Offer such as rates, as updated in accordance with this Agreement;9
(d) The Provider shall submit its Proposal to the Bank in writing;
(e) The Bank shall not be responsible for any costs incurred by a Provider in the preparation of a Proposal or any required site visit; and
(f) If the Provider does not submit a Proposal, or such Proposal is not in compliance with the Assignment Terms of Reference or is otherwise irregular or unacceptable to the Bank, or if the Provider is in a situation of conflicting interests that may negatively affect the performance of the Assignment, the Bank will send the same Assignment Terms of Reference to the Provider who is next in ranking in the cascade.
