Bundled Services. If Cable Services subject to the Franchise Fee required under this Section 6 are provided to Subscribers in conjunction with Non-Cable Services, the Franchise Fee shall be applied only to the value of the Cable Services, as reflected on the books and records of Franchisee in accordance with FCC or state public utility regulatory commission rules, regulations, standards or orders.
Bundled Services. All revenue earned from bundled services shall be allocated to Cable Service and non- Cable Service in accordance with generally accepted accounting principles (GAAP). It is understood that in some cases equipment and other non-service charges may be allocated at full retail price due to requirements related to sales taxes or similar tax requirements. To the extent such allocations are discretionary or otherwise not addressed by GAAP, allocations of revenue from such bundles shall not be structured for the purpose of evading franchise fees applicable to Cable Services.
Bundled Services. If Cable Services subject to the franchise fee required under this Section are provided to Subscribers in conjunction with non-Cable Services and the total cost of the bundle reflects a discount from the aggregate retail prices of the services contained therein, the franchise fee shall be applied to the retail price of the Cable Services in the bundle reduced by no more than a proportionate share of the overall discount; provided, however, except it is expressly understood that equipment may be subject to inclusion in the bundled price at full rate card value.
Bundled Services. OEM may market and resell the Cloud Application Services, and/or the Custom Platform Applications running on or with the Cloud Service, only as part of the Bundled Service in accordance with the licensing and use restrictions set forth in the Agreement.
Bundled Services. If Cable Services are provided to Subscribers in conjunction with Non-Cable Services, then the calculation of Gross Revenues shall be adjusted, if needed, to include only the value of the Cable Services billed to Subscribers, as reflected on the books and records of the Franchisee in accordance with FCC rules, regulations, standards, or orders. Xxxxxxxxxx agrees that it will not intentionally or unlawfully allocate such revenue for the purpose of evading payments under this Franchise. The parties agree that tariffed Telecommunications Services that cannot be discounted by state or federal law or regulation are to be excluded from the bundled discount allocation basis.
Bundled Services. If cable services subject to a franchise fee, or any other fee determined by a percentage of the cable operator's gross revenues in a locality, are provided to subscribers in conjunction with other services: the fee shall be applied only to the value of these cable services, as reflected on the books and records of the cable operator in accordance with rules, regulations, standards, or orders of the Federal Communications Commission, the State Corporation Commission, or generally accepted accounting principles. Any discounts resulting from purchasing the services as a bundle shall be reasonably allocated between the respective services that constitute the bundled transaction.
Bundled Services. The Services provided by us to you will be provided as a bundle (the "Bundled Services"). You may buy the different components of the Bundled Services separately. Please contact us for a list of the charges for each separate component and the Bundled Services together.
Bundled Services. In addition to the terms set forth above, if Client purchases Services that are sold together as part of a “bundled” package of services, any termination relating to such bundle will terminate all PTC services included in such bundle. In such cases PTC may, in PTC’s sole discretion and subject to Client’s agreeing to be bound by the applicable agreements(s) and to pay the applicable fees, allow Client to convert certain services included in the bundle services to stand alone services. Notwithstanding the above, termination of the Services will terminate any add on services. If services are suspended or terminated by PTC due to lack of payment by Client, reinstatement of services shall be subject to Client paying PTC (i) new set up fees, at PTC’s then current rates; and (ii) as applicable, all past due annual or monthly fees and Transaction fees. Bundled Services. To the extent revenues are received by Franchisee for the provision of a discounted bundle of services which include Cable Services and non-Cable Services, the Franchisee shall discount Cable Service revenues at no more than a pro rata share of the total discount applied to the bundled services (within a reasonable variation). The pro rata share shall be based on the prices for those services as specified in Franchisee’s rate cards when those products are sold on a standalone basis. If Franchisee does not offer a component of the bundled package separately, it shall declare a stated retail value for each component as reflected on its books and records or based on reasonable comparable prices for the service for the purpose of determining franchise fees based on the package discount.
Bundled Services. OEM may market and resell the Cloud Services only for use in conjunction with OEM Services in accordance with the terms of this Agreement and Order Form. The End User Agreement shall permit the End User’s use of the Cloud Service only with the Bundled Service, with data access limited to data created or used by the OEM Service (referred to as a “Restricted License”). OEM may resell the Cloud Services only directly to its End Users. OEM is not permitted to appoint any resellers, distributors or other third parties to resell the Cloud Services to its End Users. OEM shall impose on the End Users the restrictions as set forth in this Section 2.2. OEM shall promptly notify SAP of any violations of this Section 2.2 by any End Users or other third parties.
