BPS. “BPS” shall mean the building protection systems which are required by the Los Angeles County Department of Public Works for all new buildings located withing 1,000 feet of a methane source and which are necessary for development on the 157 Acre Site due to the prior landfill use, which will need to be constructed in order to enable the development and operations of the Project.
BPS. The Second-Lien Credit Facility Applicable Pricing Margin on the Effective Time will be set at Level 2 pending its next redetermination.
BPS. 1) BPS shall be responsible for student registration under the supervision of the Superintendent, or designee and provide Harlow’s with student information needed to establish routes. Online student transportation will begin on or about May 15 of each year and have a cutoff date of the Friday proceeding July 15 of each year. Parents may register their child before this date even if the student will start riding later in the school year. BPS shall keep database of students approved for transportation, and share with Harlow’s via Google Docs. Database will include students who register for busing but would like a later start date.
BPS. “BPS,” as used in this SLA in connection with a Service Credit for a service level nonconformity, means: (a) basis points (one-hundredths of one percent) per annum, the monthly portion of which is multiplied by (b) the Average End of Day Balance of Custodial Deposit Accounts processed on the System for the month in which the service level nonconformity occurs.
BPS ii. Advances under the Acquisition Loan shall be conditioned upon the Borrower evidencing compliance with all financial covenants (on a proforma basis inclusive of permitted acquisitions), there being no other Events of Default in existence under the Loan Agreement, and the Bank's prior written consent which shall not be unreasonably delayed or denied in reference to acquisitions with a purchase price in excess of $2,000,000.00. Further, availability under the Acquisition Loan shall be conditioned upon the Borrower demonstrating to the satisfaction of the Bank a Senior Funded Debt/EBITDA ratio of less than 2.5 to 1.0 on a trailing four quarter basis, on a pro forma basis inclusive of each permitted acquisition and calculated on a consolidated basis at the closing of such acquisition.
BPS. The areas noted on the attached plan and schedule of land denote NET croppable hectares from the 2015 BPS Claim. These areas will form the basis of the letting irrespective of any adjustments that may be required as a result of changes in BPS rules or changes to game crop areas/2016 BPS. For the avoidance of doubt, the 2016 BPS Claim has been submitted by the existing farm business and is registered as eligible for BPS purposes. GRASSLAND Sheep or cropping only No cattle permitted. Agri-Environment Schemes The land is not currently subject to any Environmental grant scheme. Entry into a new agreement will be with prior written consent of the Landlord only. Ingoing Valuation There will be no ingoing valuation. Cropped fields will be left in stubble or grass by the outgoing Tenant. Field, Farm and Boundary Maintenance Tenants will be responsible for keeping field management of a high standard. Such field management includes for the maintenance of a high degree of control in respect of noxious weeds and the maintenance of the pH. Several fields are accessed from Estate roads and tracks with shared access. It will be a requirement for the tenant to maintain these unsurfaced tracks regularly in order to keep them at least in their present condition. Xxxxxx must be trimmed annually with care taken to preserve and improve their existing shape, no xxxxxx to be cut back beyond the annual growth, without prior Landlord’s approval. Vermin Control Tenants will be required to control rabbits, pigeons, rats and other pests on the holding. In the case of any shooting, previous notification must be given to the Landlord. BPS. Annual Cost Lot Selection Fee: $ 15,000 per fund, after the initial year for any new fund. Annual PFTC Identification fee: $ 1,000 per fund that holds equity securities, after the initial year for any new fund.
