Bond Documents Sample Clauses

Bond Documents. The Designated Agent shall have received: (i) the Bond Delivery Agreement, duly executed and delivered by the Borrower and Designated Agent; (ii) the Senior Bond in a face amount equal to the Total Commitments as of the Effective Date, duly issued and authenticated under the FMB Indenture and in a form reasonably satisfactory to the Designated Agent; (iii) the Supplemental Indenture, duly executed and delivered by the Borrower and the Indenture Trustee and in a form reasonably satisfactory to the Designated Agent; (iv) a certificate of a duly authorized officer of the Indenture Trustee certifying that the Senior Bond has been authenticated and is outstanding under the FMB Indenture; (v) copies of all legal opinions and other documents delivered to the Indenture Trustee by or on behalf of the Borrower on or prior to the Effective Date in connection with the issuance of the Senior Bond; (vi) copies of all title reports and commitments as of the Effective Date with respect to the Mortgaged Property consisting of real property as to which Liens in favor of the Indenture Trustee, for the benefit of the holders of the First Mortgage Bond, has been granted; and (vii) the Escrow Deposit and Disbursement Agreement, duly executed and delivered by the Borrower and the Indenture Trustee and in a form reasonably satisfactory to the Designated Agent.

Bond Documents. RUS shall have received originals of: (i) the Bond to which the Guarantee relates (with an unexecuted Guarantee attached thereto) duly executed on behalf of the Borrower, identical in all respects to the form of Bond attached to the Bond Purchase Agreement except to the extent that RUS may have approved changes therein, (ii) a Bond Purchase Agreement duly executed on behalf of the Borrower and FFB, identical in all respects to the form of Bond Purchase Agreement in Annex B attached hereto except to the extent that RUS may have approved changes therein, and (iii) a Reimbursement Note duly executed on behalf of the Borrower, identical in all respects to the form of Reimbursement Note in Annex D attached hereto except to the extent that RUS may have approved changes therein.

Bond Documents. Any of the events of default specified in the Bond Documents; or

Bond Documents. Amend or otherwise modify, or agree to the amendment or modification of, the Bond Documents to which the Company is a party or to which the Company shall have a right to consent to any amendment or modification, and fail to obtain the consent of the Lenders whenever required under the Indentures.

Bond Documents. The Purchaser shall have received duly executed originals of this Agreement, the Twentieth Supplemental Indenture and the Bonds.

Bond Documents. The occurrence of an Event of Default under and as defined in the Bond Documents.

Bond Documents. Agent shall have received copies of the Travelers Indemnity Agreement and the Liberty Mutual Indemnity Agreement in effect as of the date hereof.

Bond Documents. Lessee shall not enter into any Bond Documents without the prior written consent of the Lessor if such Bond Documents: (i) impose any obligations or covenants upon Lessor or the Participants (including, without limitation, any payment or indemnity obligations), (ii) impair in any material respect Lessor’s or the Administrative Agent’s rights to the Leased Property or access to the Leased Property or (iii) result in any transfer of title or any interest in the Leased Property or risk of forfeiture of the Leased Property, other than Permitted Liens.

Bond Documents. The Administrative Agent shall have received evidence reasonably satisfactory to it that the Borrower has caused to be delivered to the Trustee under the FMB Indenture the items described in Section IV Extension Procedures for the Bonds of the Thirty-Fourth Series of the Eleventh Supplemental Indenture.
