Assignment Defined. For the purpose of this Section, “assignment” shall include, but not be limited to:
1. A sale, exchange or other transfer to a third Party of substantially all of
2. A sale, exchange or other transfer of outstanding common stock of Contractor to a person who is not a shareholder as of the Effective Date which results in a change in control of Contractor
3. Any dissolution, reorganization, consolidation, merger, re-capitalization, stock issuance or reissuance, voting trust, pooling agreement, escrow arrangement, liquidation or other transaction which results in a change in control of Contractor;
4. Any assignment by operation of law, Including insolvency or bankruptcy, an assignment for the benefit of creditors, a writ of attachment for an execution being levied against this agreement, appointment of a receiver taking possession of Contractor’s property, or transfer occurring in the event of a probate proceeding; and
5. Any combination of the foregoing (whether or not in related or contemporaneous transactions) which has the effect of any such transfer or change in control of Contractor.
Assignment Defined. An “assignment” shall be defined as a teaching position or a position listed in Exhibits B and C of this Agreement whereas, the individual is assigned through the building administrator and/or the Board of Education.
Assignment Defined. The assignment of an employee shall include the subject area(s) and grade level(s), the number of preparation(s), the number of instructional periods (when applicable), and the building(s) to which the employee is assigned. No employee shall be given an assignment outside of his/her area(s) of certification.

For the purpose of this Section, “assignment” shall include, but 35 not be limited to, (i) a sale, exchange or other transfer to a third party of substantially 36 all of Contractor’s assets dedicated to service under this Agreement; (ii) a sale, 37 exchange or other transfer of a membership interest in Contractor to a person who is 38 not a Member as of the Effective Date which results in a change in control of 39 Contractor; (iii) any dissolution, reorganization, consolidation, merger, re- 40 capitalization, stock issuance or reissuance, voting trust, pooling agreement, escrow 41 arrangement, liquidation or other transaction which results in a change of ownership 42 or control of Contractor; (iv) any assignment by operation of law, including insolvency 43 or bankruptcy, an assignment for the benefit of creditors, a writ of attachment for an 44 execution being levied against this Agreement, appointment of a receiver taking 45 possession of Contractor’s property, or transfer occurring in the event of a probate 46 proceeding; and (v) any combination of the foregoing (whether or not in related or 1 contemporaneous transactions) which has the effect of any such transfer or change 2 of ownership, or change of control of Contractor. The term “assignment” also 4 or other transfer of substantially all of the assets of any member of the Contractor 5 (including in the context of a bankruptcy or other insolvency proceeding or an 6 assignment for the benefit of creditors), and (3) any event that results in a change of 7 voting power, as defined in California Corporations Code, with respect to the persons 8 who exercise such voting power in a member of Contractor on the date of this 9 Agreement, other than a transfer to members of such person’s immediate family.

For the purpose of this Section, “assignment” shall include, but not be limited to, (1) a documentary assignment of Contractor’s interest in and obligations under this Agreement; (2) a sale, exchange or other transfer to a third party of substantially all of Contractor’s assets dedicated to service under this Agreement or of any processing facilities identified in Article VI currently owned by Contractor’s partners; (3) any reorganization, consolidation, merger, or other transaction to which Contractor or either of its partners are a party which results in a change of Control of Contractor (e.g., the inclusion of a new partner); (4) any combination of the foregoing, whether or not in related or contemporaneous transactions which results in a change of Control of Contractor. A merger of Greenwaste Recovery, Inc. and Zanker Road Resource Management, Ltd., shall not constitute an “assignment” requiring the City’s approval. However, Contractor shall provide City at least 90 days notice of such a proposed merger and the consolidated entity shall provide City a new Guaranty substantially in the form of Attachment M within two business days after the merger or consolidation.

Assignment Defined. The term "assignment" shall include any dissolution, merger, consolidation or other reorganization of the Contractor, or the sale or other transfer of Contractor's capital stock, which results in a change in control.
