Assignment; Amendment. This Agreement may not be assigned by any party hereto without the prior express written consent of all other parties. This Agreement may not be amended except by the express written consent of all parties hereto.
Assignment; Amendment. Neither party may assign or transfer this Agreement without the express written consent of the other party. No change, amendment or modification of this Agreement shall be valid unless in writing and signed by the parties hereto.
Assignment; Amendment. Neither Employer nor Administrative Agent can assign this Agreement without the other party’s written consent; such consent shall not be unreasonably withheld, provided however, Administrative Agent may assign this Agreement to any current or future Administrative Agent Affiliate without consent of Employer. This Agreement may be amended only by written agreement of duly authorized officers of Employer and Administrative Agent.
Assignment; Amendment. This Agreement may not be assigned or amended by any party without the consent of the other parties, other than as provided under Section 15; provided, that Issuer may assign this Agreement without the consent of the other parties in connection with a merger, acquisition or reorganization, and, provided further, that a change of control of a party shall not be deemed an assignment for purposes of this Agreement.
Assignment; Amendment. Either Party cannot assign this Agreement or any interest in this Agreement without prior written consent from the other Party. None of the terms and provisions of this Agreement may be modified or amended except by an instrument in writing executed by each Party.
Assignment; Amendment. This Agreement and the rights and obligations hereunder of any of the parties hereto may not be assigned without the prior written consent of the other parties hereto. Subject to the foregoing, this Agreement will be binding upon and insure to the benefit of each of the parties hereto and their respective successors and permitted assigns. No portion of the Escrow Shares shall be subject to interference or control by any creditor to any party hereto, or be subject to being taken or reached by any legal or equitable process in satisfaction of any debt or other liability of any such party hereto prior to the disbursement thereof to such party hereto in accordance with the provisions of this Agreement. This Agreement may be changed or modified only in writing signed by all of the parties hereto. No provision hereof may be waived other than by an instrument in writing signed by the party against whom enforcement is sought. A waiver or amendment of any term or provision of this Agreement shall not be construed as a waiver or amendment of any other term or provision of this Agreement or any other Transaction Document.
Assignment; Amendment. Except as otherwise provided herein, neither party shall sell, assign, or transfer any of its rights, or delegate any of its obligations, under this Agreement without the prior consent of the other party except that such prior consent shall not be required if such sale, assignment, or transfer is to an affiliate of a party or in connection with a merger, consolidation, or the sale of substantially all of its assets. This Agreement may be amended in a writing signed by both parties hereunder.
Assignment; Amendment. Employer cannot assign its rights under this Agreement without the BCBSRI’s written consent. Except as expressly indicated in this Agreement, this Agreement may be amended only in a writing signed by duly authorized individuals of each party.
Assignment; Amendment. Neither Qualified Employer nor SISC FLEX can assign this Agreement without the other party’s written consent. This Agreement may be amended only by written agreement of duly authorized officers of Qualified Employer and SISC FLEX.
Assignment; Amendment. Except for a transfer or assignment of this --------------------- Agreement in connection with a merger of Futurestep into or with KF, an acquisition by KF of Futurestep, the Futurestep Business or all or substantially all of the assets of Futurestep, neither this Agreement, the license granted herein, nor any of the rights or obligations hereunder, shall be assigned or transferred, whether by operation of law or otherwise, without the prior written consent of all other parties hereto. Any purported assignment or transfer in violation of the first sentence of this Section 16(c) shall be void. This Agreement and all of its rights and obligations shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns. This Agreement may be amended only by a written instrument executed by the party or parties to be bound thereby.
