Assignme nt. The Subrecipient shall not assign or transfer any interest in this Agreem ent without the prior written consent of Grantee.
Assignme nt. Neither Party may assign, delegate or subcontract any of its rights or obligations under this Agreement without the prior written consent of the other Party. Subject to the foregoing, this Agree ment shall inure to the benefit of, and be binding upon, the successors and permitted assigns of the Parties.
Assignme nt. This GIA may be assigned by any Party only with the written consent of the other Parties; provided that any Party may assign this GIA without the consent of the other Parties to any Affiliate of the assigning Party with an equal or greater credit rating and with the legal authority and operational ability to satisfy the obligations of the assigning Party under this GIA; and provided further that Interconnection Customer shall have the right to assign this GIA, without the consent of Transmission Provider or Transmission Owner, for collateral security purposes to aid in providing financing for the Generating Facility, provided that Interconnection Customer will promptly notify Transmission Provider and Transmission Owner of any such assignment. Any financing arrangement entered into by the Interconnection Customer pursuant to this article will provide that prior to or upon the exercise of the secured party's, trustee's or mortgagee's assignment rights pursuant to said arrangement, the secured creditor, the trustee or mortgagee will notify Transmission Provider and Transmission Owner of the date and particulars of any such exercise of assignment right(s), including providing the Transmission Provider with proof that it meets the requirements of Articles 11.7 and 18.3. Any attempted assignment that violates this article is void and ineffective. Any assignment under this GIA shall not relieve a Party of its obligations, nor shall a Party's obligations be enlarged, in whole or in part, by reason thereof. Where required, consent to assignment will not be unreasonably withhe ld, conditioned or delayed.
Assignme nt. Consultant shall not assign any right or obligation under this Agreement without the City’s prior written consent. Any attempted assignment of any right or obligation under this Agreement without the City’s prior written consent shall be void.
Assignme nt. Neither party may assign or transfer its obligations or interest in this Agreement without the express written agreement of the other party. Subject to the above restrictions on assignment and transfer, this Agreement shall be binding on the successors and assigns of the parties hereto.
Assignme nt. This Agreement is personal and User shall not assign this Agreement or any privileges granted hereunder, nor allow any other person, group or entity to use the Laboratory during User’s scheduled time(s) without the prior written consent of NC State.
Assignme nt. 1 5 . 4 . 1 No Party shall, without the prior written consent of the other Parties , assign, grant any security interest over, hold on trust or otherwise transfer the benefit of the whole or any part of this Agreement .
Assignme nt. This Agreement is personal and Licensee shall not assign this Agreement or any privileges granted hereunder, nor allow any other person, group, or entity to use the Facility during the time of the Event without the prior written consent of NCSU.
Assignme nt. This Agreement may not be assigned by Licensee without OANDA’s prior written consent. Subject to the foregoing, this Agreement will be binding upon and inure to the benefit of each party and its respective successors and permitted assigns.
