Annual Certifications. At least annually, and in no event later than the tenth Business Day after the end of the calendar year, Utility shall deliver to DWR a certificate of an authorized representative certifying that to the best of such representative's knowledge, after a review of Utility performance under this Agreement, Utility has fulfilled its obligations under this Agreement in all material respects and is in compliance herewith in all material respects.
Annual Certifications. At least annually, Utility will deliver to DWR, with a copy to the Commission, a certificate of an authorized officer certifying that to the best of such officer’s knowledge, after a review of Utility’s performance under this Servicing Order Agreement, Utility has fulfilled its obligations under this Servicing Order Agreement in all material respects and is in compliance herewith in all material respects.
Annual Certifications. The Alliance shall annually certify to BP that the expenditures and research pursuant to Approved Research Projects remains within the intent of and adheres to the terms of this Agreement, as well as any applicable succeeding documents.

Annual Certifications. The Company shall deliver to the Collateral Agent within one hundred twenty (120) days after the end of each fiscal year of the Company an Officer’s Certificate stating that the (i) Company is in compliance with the covenants of this Article IV and terms and conditions of the Agreement and (ii) that to the best of his or her knowledge the Company has kept, observed, performed and fulfilled each and every covenant contained in this Agreement and is not in default in the performance or observance of any of the terms, conditions and provisions hereof. To the extent that an Event of Default has occurred under this Agreement, the Officer’s Certificate shall describe what action that has been taken or is proposed to be taken by the Company with respect to such Event of Default.
Annual Certifications. For the Term of this Agreement on or before the dates identified below, VCS shall submit to the United States certifications signed by the Superintendent, ESE Director, and the ADA Compliance Officer, attesting to their compliance with the terms of the Settlement Agreement as amended by this MOA: August 2, 2024; August 2, 2025; and August 2, 2026.
