Alternative Services. If alternative services may be performed for the treatment of a dental condition, the maximum amount payable will be the amount shown in the applicable suggested Fee Guide for the least expensive service or supply required to produce a professionally adequate result.
Alternative Services. (a) To the extent that the Vendor is unable to perform all or any part of the Services in accordance with the Contract for any reason, Newcrest may, in its absolute discretion, source such part of the Services from any third party ('Alternative Services').
Alternative Services. If Resident elects to have the above nursing services provided by other means (i.e., home care agency, either through Willow Valley or another provider), Resident will be responsible to pay for such services. Resident may be asked to submit an updated Financial Statement to Administration before arranging for such services. If payment for such services jeopardizes the Resident’s ability to pay the Monthly Service Fee, Willow Valley may terminate this Agreement.
Alternative Services. In the event of a Force Majeure that continues for a period of more than fifteen (15) consecutive days, the Recipient with respect to the affected Service or Facility shall be entitled (i) to seek an alternative service provider or facility at its own cost to perform such Service or provide access to a commensurate facility during the pendency of the Force Majeure, and (ii) following the conclusion of such Force Majeure, to permanently terminate the Provider’s obligation to provide the affected Service or access to the affected Facility. In such event, the Recipient shall be relieved of the obligation to pay Service Charges for the provision of such Service or access to such Facility throughout the duration of such Force Majeure and, in the event of a permanent termination of the Provider’s obligation to provide such Service or access to such Facility, at any time thereafter.
Alternative Services. It is acknowledged that from time to time Retek or RIS may find it necessary or desirable either to enter into agreements covering services of the type contemplated by this Agreement to be provided by parties other than HNC or to enter into other agreements with other parties covering Services or functions to be performed by HNC hereunder. Except as provided in Section 3.2, nothing in this Agreement shall be deemed to limit in any way the right of Retek or RIS to acquire such Services from others or to enter into such other agreements; provided that in no such event shall the fees to be paid to HNC pursuant to Section 2 hereof be reduced on account thereof unless this Agreement is terminated, or the applicable Services are discontinued in accordance with Section 3.3 hereof.

Alternative Services. To the extent that Generator does not provide Capacity Resources Requirements, Ancillary Services Requirements, the Required Energy and/or Optional Energy ("Services") to Pepco as required under this Agreement, Generator, as an alternative method of performing such obligations, shall pay Pepco the positive difference between the price Pepco pays for such Services in the appropriate PJM marketplace, or if not available in the PJM market, any other market ("Alternative Services") and the price Pepco would have paid to Generator for such Services under this Agreement, plus penalties and nonperformance charges, if any, assessed on Pepco by the PJM Interconnection LLC or PJM System Operator as a result of the Generator not providing the Services. Calculation of the cost of Alternative Services hereunder shall include all reasonable direct costs associated with the procurement and delivery of Alternative Services, including legal or transactional costs and expenses; taxes, energy, demand, capacity, or reservation charges; energy losses; emergency energy; and any transmission or congestion costs but does not include the cost of PJM network service. For purposes of determining the amount of Alternative Services Pepco purchases to satisfy its energy requirements, energy requirements for any day shall be the net amount of energy Pepco purchases for the Service Load in the PJM day-ahead and second settlement markets.
Alternative Services. Notwithstanding any provision of this Agreement to the contrary, COMPANY may utilize the services of an alternative vendor or supplier in the case where (a) MedAire has shown a pattern in the course of this Agreement where it has not provided acceptable products and/or services, (b) COMPANY has notified MedAire of this fact in writing in accordance with the notice provisions set out below at each point during the process by which MedAire has demonstrated the pattern set out in subsection a below, and (c) COMPANY has a good faith basis to believe that MedAire will be unable to perform the service or provide the product in an acceptable manner and COMPANY has a good faith basis to believe that MedAire’s failure to do so will cause irreparable injury to COMPANY. Nothing herein shall permit COMPANY to terminate this entire Agreement under the provisions of this subparagraph.

Alternative Services. In the event that RSI purchases any Product(s) from sources other than PRELL d/b/a DCR as a result of (i) noncompetitive pricing by PRELL d/x/x DCR of any of the Products not included on the then-currxxx Xxhibit A as compared to prices generally available in the marketplace for similar quantities and quality of products, (ii) failure of PRELL d/b/a DCR to comply with any of RSI quality assurance requiremxxxx, as reasonably requested, and/or specifications of the Products, and/or (iii) insufficient supply of any of the Products from PRELL d/b/a DCR relative to its supply commitment, then RSI shall usx xxx best efforts to obtain Products from alternative manufacturers.
