Alliance. The Term “Alliance” as used herein shall mean the Alliance of Motion Picture and Television Producers.
Alliance. “Alliance” shall be the sum of all the contracts or contractual obligations of the Members and not a separate legal entity.

In the event the parties are unable to agree upon and execute and deliver legally binding definitive agreement(s) governing the terms and conditions of such alliance by March 31, 2003, then either Danka or GE Capital shall have the option, by delivery of a written notice to the other, to terminate this Agreement effective as of April l, 2003. In no event shall the failure, for any reason, of the parties hereto to execute and deliver such agreement(s) be considered a breach of this Agreement by either party hereto.
Alliance and Ancor waive and shall not assert any defenses Alliance and/or Ancor may have to any criminal prosecution or administrative action relating to the Alliance Covered Conduct and the Ancor Covered Conduct that may be based in whole or in part on a contention that, under the Double Jeopardy Clause in the Fifth Amendment of the Constitution, or under the Excessive Fines Clause in the Eighth Amendment of the Constitution, this Agreement bars a remedy sought in such criminal prosecution or administrative action.
Alliance and Ancor agree that they waive and shall not seek payment for any of the health care xxxxxxxx covered by this Agreement from any health care beneficiaries or their parents, sponsors, legally responsible individuals, or third party payors based upon the claims defined as Alliance Covered Conduct and Ancor Covered Conduct.
Alliance. Schering hereby reconveys to Alliance all rights to the trademark for "Imagent" granted pursuant to the Original License Agreement.
