Agreement Terms. The terms of the Agreement conform to University policy. The period of performance for the project is approximately two (2) years. The amount of funding support will not exceed $62,500. Since research projects are often amended, this agreement includes provisions for changes in time and scope. University procedures for approval of these changes will be followed and additional conflict of interest review will be done as appropriate.

Agreement Terms. Commencement This Agreement will commence on the date of receipt of the deposit and all properly completed and signed terms, consents and forms. Cell Care Services Cell Care will: 1. prepare your Cord Blood or Cord Blood + Tissue collection kit with temperature stabilising and recording components; 2. deliver your Cord Blood or Cord Blood + Tissue collection kit to your home address; 3. inform your nominated hospital of your decision to collect Cord Blood or Cord Blood + Tissue; 4. if requested, arrange for a Cell Care Collector to collect your baby’s Cord Blood or Cord Blood + Tissue and a maternal blood sample; 5. transport the Cord Blood or Cord Blood + Tissue and maternal blood sample from the hospital to Cell Care using dedicated medical transport; 6. process the Cord Blood or Cord Blood + Tissue; 7. test the Cord Blood and maternal blood sample; 8. cryogenically store (which means freeze in liquid nitrogen at very low temperatures) the Cord Blood or Cord Blood + Tissue at Cell Care; 9. continuously monitor the Cord Blood or Cord Blood + Tissue when stored; 10. subject to the release for use provisions of this Agreement and any laws, government regulations or medical standards applicable at the time, release the Cord Blood for regulator approved use(s) and deliver it using dedicated medical transportation (at Cell Care’s cost) to any hospital in the world; and 11. should, in the future, Cord Tissue that is collected and stored by Cell Care under its current processes be able to be used as an intermediate material for regulator approved use(s) and be able to be released by Cell Care, release the Cord Tissue for that use and deliver it using dedicated medical transportation (at Cell Care’s cost) to a production facility anywhere in the world subject to the release for use provisions of this Agreement and any laws, government regulations or medical standards applicable at that time. Payment for Services You agree to pay all fees and charges in accordance with your chosen payment plan and payment method specified in Sections D and E above. All amounts payable under this Agreement include GST. If you choose to pay an Annual Storage Fee, the storage period will automatically renew for an additional 12 months on each anniversary of the first payment of the Annual Storage Fee until you give notice in writing to Cell Care of your intention not to renew the storage period. Agreement Terms. A thorough assessment of the transfer programs and destination baccalaureate programs will determine if credit earned in the associate degree program awarded by the Sending Institution will transfer to Xxxxxxx University (Receiving Institution) subject to the following conditions: The completion of additional general education and lower division courses may be needed to fulfill Xxxxxxx University’s program requirements. Students from the Sending Institution will be granted admission to a baccalaureate degree program at Xxxxxxx University (Receiving Institution) upon completion of an associate degree with a cumulative grade point average of 2.0 or greater and upon further satisfaction of all other conditions for admission as stated in the Xxxxxxx University Undergraduate Catalog. Regardless of the number of transfer credits accepted, at least 25% of the credits required for the baccalaureate degree must be completed at Xxxxxxx University (Receiving Institution). In some cases, recommended electives are noted to ensure maximum transferability of credits from the Sending Institution to Xxxxxxx University (Receiving Institution). Courses taken at the Sending Institution must be completed with a grade of C (2.0) or better in order to be eligible for transfer into Xxxxxxx University. The policies for awarding credit by examination and experiential learning vary from one institution to another. Each institution will publish information about its policies for awarding credit for experiential learning, including the names of tests that are used to assess credit, cut‐off scores, deadline dates for submission of scores to Xxxxxxx University (Receiving Institution), and restrictions on the time interval permitted to receive current credit for a course taken some years previously. Any credit awarded by the Sending Institution for experiential learning as part of a conferred associate degree will be reviewed for transfer credit eligibility by Xxxxxxx University (Receiving Institution). Determination of course requirements of the major for a baccalaureate degree, including introductory and related courses, is the prerogative of Xxxxxxx University (Receiving Institution). Agreement Terms. This Agreement is binding for one academic year beginning the day the WSU residence halls are advertised to be open for fall semester and ends the day the WSU residence halls close at the end of spring semester. If you arrive early or stay late, you will be subject to additional charges. If you enter into an Agreement after the academic year has commenced, your Agreement is binding from the date you sign your Agreement. You are responsible for the room, meals, and payments until you and your belongings vacate the premises, check out properly, and end the agreement per its conditions (See Housing and
Agreement Terms. Subject to SECTION 15.2 and the exclusions set forth in SECTION 7.1(b), the Parties shall treat the terms and conditions of this Agreement as Confidential Information; provided, however, after written notification to the other Party, each Party may disclose the existence of this Agreement and the material terms and conditions of this Agreement under circumstances that reasonably ensure the confidentiality thereof to: (a) any government or regulatory authorities, including without limitation the United States Security and Exchange Commission pursuant to applicable law (excluding, to the extent legally permitted, disclosure of financial terms in any publicly available versions of information so disclosed), (b) its legal representatives, advisors and prospective investors, and (c) to Connetics' licensors to the extent required for compliance with Connetics' obligations under third party licenses.
