Agent Services. 2.3.4.1 Party B shall provide customs clearance, trade documents preparation, inspection and data processing Services for materials imported or exported by Party A, select, evaluate and negotiate with potential contractors for Party A’s construction projects and overseas equipment suppliers and draft related contracts.

Agent Services. The Client hereby appoints and constitutes IGOLD as its agent and its true and lawful attorney-in-fact for the purpose of establishing, maintaining, administering and overseeing a separate, individually numbered, fully-allocated and physically segregated sub-account (the “Account”) maintained by a secure storage provider (the “Depository”) selected by IGOLD to hold physical custody of the Product. In connection therewith, and without limiting other agency services IGOLD may provide pursuant to in this Agreement, and subject to IGOLD’s receipt of the Client’s express written directions or authorizations, IGOLD may receive, inspect, authenticate and transfer items of Product, prepare documents for release or shipment, and report activity within the Account.
Agent Services. Agent agrees to perform the following services during the term of this Agreement. The parties agree that the performance of such services constitutes material obligations of Agent:
Agent Services. LIT agrees to become Supplier’s Exclusive Agent in Ontario and perform for the Supplier and on the Supplier’s behalf the services required for the application to sell Product to the LCBO, approval of the Products, and performing promotions and marketing support of the Products. LIT shall provide the Services using qualified personnel of LIT’s choice and LIT retains the right to appoint and to replace such personnel at LIT’s sole discretion.
Agent Services. Without in any manner limiting the obligations of the Company under this Section 13, the Company may at its own expense retain the services of one or more agents to perform any or all of its obligations under this Section 13 and 14 and to perform certain other administrative functions on behalf of the Company including, without limitation, distribution of financial statements and other certificates and notices. As of the date of this Agreement, such agent is Wells Fargo Bank, N.A. acting out of its office at Corporate Trust Sxxxxxes, 45 Broadway, 14th Floor, New York, NY 10006-3007 and the Company xxxxx xxxx xxxxxx xxxxxx xx xxx Xxxxxxxxxx xx xxxer holders of Notes of any change in the identity of such agent. Purchasers agree that they shall cooperate with such agent and deliver any Notes, notices or other communications and any related documents as may be required under Sections 13 and 14, as applicable, of this Agreement to such agent, and shall comply with any requests reasonably made by the agent on the Company's behalf pursuant to the provisions of such sections.
