Adverse Information. The Parties hereto warrant that if either one develops or discovers adverse information regarding the development of the Instrument the other Party will be notified immediately.
Adverse Information. Seller does not have any actual knowledge of any change contemplated in any applicable laws, ordinances or restrictions, or any judicial or administrative action ( or any event, fact or circumstance) which will or could be reasonably expected to, have a material adverse effect on the Seller or its condition, financial or otherwise, the Assets, or the condition, value or operation thereof.
Adverse Information. Owner has disclosed to Broker all material latent defects and information concerning the Premises known 179. to Owner, including all material information relating to: (i) connection to a public sewer system, septic tank or other sanitation 180. system; (ii) the existence of any tax, judgment or other type of lien; (iii) past or present infestation by or treatment for wood- 181. destroying pests or organisms; and (iv) past or present repair of the Premises for damage resulting from wood destroying pests 182. or organisms. During the term of this Agreement, Owner agrees to continue disclosing to Broker all additional information of the 183. type required by the preceding sentence promptly after Owner becomes aware of any such information by updating the Seller’s 184. Property Disclosure Statement, Residential Lease Owner’s Property Disclosure Statement or other written notice.
Adverse Information. Neither Seller nor Stockholder has any actual Knowledge of any change contemplated in any applicable laws, ordinances or restrictions, or any judicial or administrative action, or any event, fact or circumstance which will, or could be reasonably expected to, have a material adverse effect on the Seller or its condition, financial or otherwise, the Assets, or the condition, value or operation thereof.
Adverse Information. The Mortgage Manager must notify the Trust Manager promptly upon becoming aware of any event or circumstance which it reasonably considers likely to have a material adverse effect upon the ability of the Mortgage Manager to comply with its obligations under this Agreement, or the volume or value of investment proposals which it is likely to be able to make to the Trustee under clause 4 or the business operations of the Mortgage Manager generally.
Adverse Information. No serious adverse event information resulting from Clinical Trials has come to the attention of Ambit or any of its Affiliates with respect to AC220 or the Lead Product that is materially different with respect to the incidence, severity or nature of such serious adverse events than the information that was filed as safety updates to any Regulatory Materials or Regulatory Approvals, and all written data summaries that were included in any Regulatory Materials or Regulatory Approvals based on Clinical Trials conducted or sponsored by Ambit or any of its Affiliates accurately summarize in all material respects the raw data underlying such summaries.
Adverse Information. Seller has no information or knowledge of any change contemplated in any applicable laws, ordinances, or restrictions, or any judicial or administrative action, or any action by adjacent landowners, or natural or artificial conditions upon the Site or Property, which would prevent, limit, impede, or render more costly Buyer's development or use of the Site or Property.
Adverse Information. The Company has no information or knowledge that there are any laws, ordinances or restrictions, or any change contemplated therein, or any judicial or administrative action, or any action by adjacent landowners, or natural or artificial conditions upon the Property, or any other facts or conditions which could, in the aggregate, have a material adverse effect upon the Property or the completion or operation of the Project, including the value or profitability thereof. The Company has not received any notice from any insurance company of any defects or inadequacies in any of the Property which could materially and adversely affect the insurability of the Property or the Project or the premiums for the insurance thereof. No notice has been given by any insurance company which has issued a policy with respect to any of the Property or by any board of fire underwriters (or other body exercising similar functions) requesting the performance of any repairs, alterations or other work with which compliance has not been made.
Adverse Information. During the term of this Agreement, MSP agrees to notify NOVA and Member promptly in writing if MSP becomes aware of any information about the insolvency or bankruptcy (voluntary or involuntary) or change in ownership or business of any Referred Merchant, or if MSP becomes aware of any other significant adverse information about noncompliance with the Rules by a Referred Merchant, or any information indicating that any Referred Merchant's acceptance of Credit Cards is other than the bona fide sale of products or services by such Referred Merchant.
Adverse Information. Neither the Company nor any of the Sellers has any information or knowledge of any change contemplated in any applicable laws, ordinances or restrictions, or any judicial or administrative action, or any event, fact or circumstance which will, or could be reasonably expected to, have a material adverse effect on the Company or its condition, financial or otherwise, the Assets, the Leased Assets, the Walker Real Property or the condition, value or operation thereof.
