Additional Administrative Services. The Administrative Agent will provide additional Administrative Services, including (a) providing assistance in arranging one or more refinancings of all or a portion of the Notes, and (b) undertaking efforts to avoid any adverse change in the tax status of any Person within AerCo Group. In addition, subject to Section 8.01(b) hereof, upon a request by AerCo Group, the Administrative Agent will take such other actions as may be appropriate to facilitate AerCo Group's business operations and assist the relevant boards of directors or trustees in carrying out their obligations; provided, however, that the Administrative Agent will not be obligated or permitted to take any action that might reasonably be expected to result in the business of AerCo Group ceasing to be separate and readily identifiable from, and independent of, the Administrative Agent, the Guarantor and any of their Affiliates.
Additional Administrative Services. The Administrative Agent will provide additional Administrative Services, including (a) providing assistance in the issuance of any Additional Notes or Refinancing Notes, (b) undertaking efforts to procure that WEST and each other Managed Group Member that is a “foreign entity” within the meaning of Treasury regulation section 1.1473-1(e) shall (1) be a deemed-compliant foreign financial institution or a passive non-financial foreign entity (as such terms are defined under FATCA) and have identified, and obtained any required documentation and information from, its substantial U.S. owners (as such term is defined under FATCA) to the extent required under FATCA and (2) to the extent required by FATCA, taking into account the provisions of any applicable intergovernmental agreement, shall have appointed a FATCA Responsible Officer to supervise its compliance with FATCA, and (c) undertaking efforts to avoid any adverse change in the tax status of WEST or any other Managed Group Member. In addition, upon a request by WEST or any other Managed Group Member, the Administrative Agent will take such other actions as may be appropriate to facilitate the business operations of WEST or such Managed Group Member and assist the Controlling Trustees in carrying out their obligations; provided, however, that the Administrative Agent will not be obligated or permitted to take any action that might reasonably be expected to result in the business of WEST or such Managed Group Member ceasing to be separate and readily identifiable from, and independent of, the Administrative Agent and any of its Affiliates. Additional Administrative Services. Upon reasonable notice and as mutually agreed upon, CMFS may provide additional administrative services upon the request of the Trust or its investment adviser, which may result in additional charges, the amount of which shall be agreed upon between the parties prior to the provision of such report.
