ACH PROCESSING. To enable you to make and accept ACH payments, you authorize us to originate credit or debit records for the purpose of a funds transfer (“Entries”) into the ACH network. We will use reasonable efforts to originate Entries on your behalf in accordance with this agreement. You must only submit Entries for bona fide transactions with your customers made in the ordinary course of business in accordance with this agreement, the Rules, and Laws. You shall obtain and maintain appropriate authorizations in accordance with the Rules from each of your customers for each ACH transaction. All disputes between you and any of your customers relating to any ACH transaction must be resolved between you and that customer. If ProPay receives any notice of an ACH dispute or NACHA inquiry, we will forward such notice directly to you. ProPay bears no financial responsibility for any disputed transaction. You must maintain an unauthorized return rate, as described in the NACHA Regulations, below 0.5% of originating debits.

ACH PROCESSING. BASE COMMERCE and Merchant have contracted for BASE COMMERCE to provide Automated Clearing House (“ACH”) services as a Third Party Processor of ACH transactions. These transactions will be placed through a financial institution used by BASE COMMERCE who will be acting as the Originating Depository Financial Institution (“ODFI”). Merchant shall act as the Originator. BASE COMMERCE will debit funds (“Debit Entry”) for the purpose of collecting Automatic Payments from the accounts of the Merchant’s customers (“Receivers”) and/or credit funds (“Credit Entry”) for the purpose of paying the Merchant’s accounts receivable in accordance with the terms of this Agreement, the Operating Rules (“Rules”) of the National Automated Clearing House Association (“NACHA”), and applicable federal, state and local laws or regulations governing ACH transactions (collectively, “Regulations”). The terms and conditions of this Agreement do not limit Merchant’s obligation to comply with the Rules and Regulations. “Entry” or “Entries” shall mean either a Credit Entry or a Debit Entry.
ACH PROCESSING. You may only submit ACH Entries through the Site or Mobile App and you authorize us to honor, accept, execute, and initiate any ACH transactions that you request using the Site or Mobile App, subject to the security procedures hosted at xxxxx://xxx.xxxxxxx.xxx/legal/tos, and as otherwise communicated to you specifically. You agree to comply with Section 1(B) of this Agreement and the security procedures for using the Site or Mobile App in connection with initiating ACH transactions and you acknowledge that such security procedures are acceptable and a commercially reasonable method of providing security against unauthorized Entries. We reserve the right to change the procedures by which you make debits and credits from time to time as we deem reasonable or necessary to provide the ACH payment services to you, or to conform with changes in NACHA Rules or other events beyond our control that affect the manner in which we provide the ACH payment services to you. You agree you will only initiate Entries for Standard Entry Class (“SEC”) Codes that have been specifically approved by us in this Agreement or otherwise in writing. We may restrict or amend these approved SEC Codes from time to time in writing. You shall have no right to cancel, reverse, or amend any Entry after we receive it. However, we may use reasonable efforts to act your request for cancellation, reversal, or amendment of any Entry or File prior to transmitting it to the ACH Operator, provided such request complies with the security procedures and other requirements, but we shall have no liability if such cancellation, reversal, or amendment is not effected. Your request must include the reason for the cancellation, reversal, or amendment. You agree to indemnify us in connection with any such request and you will reimburse us for any expenses, losses, or damages that we incur in effecting or attempting to effect the cancellation, reversal, or amendment request.
ACH PROCESSING. A) Pre-Notifications o CMP will receive daily from Transfer Agent pre-notifications in ACH format to be forwarded pursuant to ACH processing guidelines.

If we respond to a dispute or transaction inquiry on your behalf, you consent to pay our additional fees associated with these services.

ACH PROCESSING. When requested by Merchant, PNX will also provide ACH processing services at the rates specified in Schedule X. Xxxxxxxx agrees that information supplied in this application may be used to establish a separate ACH account. If this service is requested, Xxxxxxxx understands that a personal credit review may be deemed necessary and authorizes such an action. Xxxxxxxx agrees that Bank and PNX will deduct processing fees from the Operating Account or Reserve Account on a daily basis unless a monthly basis is specified on Schedule A. Merchant also agrees to pay Bank or PNX the amount of any fees, charges or penalties assessed against Bank or PNX. Xxxxxxxx agrees to abide by all National Automated Clearing House Association (NACHA) rules and regulations governing ACH processing and use of their networks.
