Each Bank acknowledges that it has, independently and without reliance upon the Agent, any Senior Managing Agent, any Managing Agent, any Co-Agent, any Co-Documentation Agent, any Co-Syndication Agent or any other Bank, and based on such documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement.
Company shall have paid to Joint Lead Arrangers, Co-Syndication Agent, Administrative Agent and Co-Documentation Agent and the Lenders, the fees payable on or before the Closing Date referred to in Section 2.11(c) and (d) and all expenses payable pursuant to Section 10.2 on such date.
