Purchased Common Units definition

Purchased Common Units means the Common Units to be issued and sold to the Purchasers pursuant to this Agreement.

• The Company agrees that it will indemnify and hold harmless each of the Purchasers from and against any and all claims, demands or liabilities for broker’s, finder’s, placement or other similar fees or commissions incurred by the Company or alleged to have been incurred by the Company in connection with the sale of Purchased Common Units or the consummation of the transactions contemplated by this Agreement.

More Definitions of Purchased Common Units

Purchased Common Units means the 527,426 Common Units purchased by the Purchaser pursuant to this Agreement.

Purchased Common Units means all of the Common Units of Holdings issued to upon the Conversion in exchange for the Interest in Holdings that acquired pursuant to the Original Agreement (which is expected to be Common Units), as may be adjusted from time to time as a result of any dividend or distribution payable in securities, reclassification, recharacterization or similar event with respect to Common Units generally.

Purchased Common Units means a number of OpCo Common Units equal to (i) the number of shares of PubCo Common Stock, other than PubCo Class E Common Stock, outstanding at the Closing and not held by BT Assets, multiplied by (ii) the amount of the Over the Top Consideration, divided by (iii) the amount of PubCo Available Cash.
