Class A Partners definition

Class A Partners. Class A Partners" means those parties listed as Class A Partners on Exhibit A attached hereto and hereby incorporated by this reference, as said exhibit may be revised from time to time by the Managing Partners.

Class A Partners. As defined in the Preamble.

Class A Partners means a Partner, in its capacity as a holder of record of Class A Interests, with a Capital Account as set forth on Exhibit A hereto.

• During the Deadlock Response Period, the Class A Partners may commit to subscribe for some or all of any Additional Contributions not taken up within the Deadlock Response Period (the “Unfulfilled Additional Contributions”).

• The General Partner shall choose the external auditors of the Company who shall be independent from the General Partner or its Affiliates, or as otherwise agreed to by all the Class A Partners.

• All such Additional Capital Contributions shall be made by the Class A Partners in cash or current funds, pro rata, in proportion to their respective Percentage Interests.

More Definitions of Class A Partners

Class A Partners means such Persons admitted to the Partnership as Class A Limited Partners in accordance with this Agreement.

Class A Partners means all Limited Partners other than the Class B Partner.
