Capital Account definition

Capital Account means, with respect to any Member, the Capital Account maintained for such Member in accordance with the following provisions:
Capital Account has the meaning provided in Section 4.4 hereof.
Capital Account means the capital account maintained for a Partner pursuant to Section 5.5. The “Capital Account” of a Partner in respect of any Partnership Interest shall be the amount that such Capital Account would be if such Partnership Interest were the only interest in the Partnership held by such Partner from and after the date on which such Partnership Interest was first issued.

Examples of Capital Account in a sentence

  • No Interest Holder shall be allocated losses or deductions if the allocation causes an Interest Holder to have an adjusted Capital Account deficit.

  • Each Member must respond to an additional Capital Contribution request as required hereunder within ten (10) days, following which time, the Membership Interest percentages will be recomputed based upon each Member’s new Capital Account balance.

  • Except as otherwise specifically provided in this Agreement, each Member shall only be entitled to look solely at the assets of the Joint Venture for the return of its positive Capital Account balance and shall have no recourse for its Capital Contribution and/or share of Profits (upon dissolution or otherwise) against any other Member, except as provided in this ARTICLE 12.

  • No Member shall be obligated to restore a negative Capital Account.

  • A separate Capital Account shall be established and maintained in the books and records of the Joint Venture for each Member.

Capital Account means with respect to any Partner, the Capital Account maintained for such Partner in accordance with the following provisions:
