Class A Interests means the Units purchased by the Class A Members. The Class A Interests shall comprise sixty-five percent (65%) of the total Interests sold. Class A Interests mean the Units purchased by the Class A Members. The Class A Interests shall comprise fifty percent (50%) of the total Interests sold. Class A Percentage Interests shall be determined by calculating the ratio between each Class A Members Capital Account in relation to the total capitalization of the Company provided by the Class A Members. Class B Interests mean fifty percent (50%) of the total Interests in the Company, which shall be issued to XXXXXXX HOMES XXXXXXX LOANS, LLC (in concert with the Xxxxxxx X Xxxxxxx Development Co or its members or their Affiliates) in exchange for services. Class B Members shall initially mean XXXXXXX HOMES XXXXXXX LOANS, LLC (or its Affiliates and/or members), but may include others to whom the Manager may grant or allow to purchase Class B Interests. Issuance of Class B Units is irrevocable even if Xxxxxxx Homes Xxxxxxx Loans, LLC, and Xxxxxxx Xxxxxxx is removed as the Manager of the Company. Code means the Internal Revenue Service Code of 1986, as amended from time to time.
