Class C Member definition

Class C Member means a Member holding the Class C Ordinary Share.
Class C Member means a holder of a Class C Membership Interest.
Class C Member means any Person (i) who has become a Member pursuant to the terms of this Agreement, and (ii) who is the owner of one or more Class C Units. “Class C Members” means all such Persons.

Examples of Class C Member in a sentence

  • Any Manager may be removed or replaced without “Cause” at any time by a majority of the Board and each Manager may be removed and or replaced and our Board can be reconstituted for any reason by the Class C Member, if any.

  • A Member may be a Class A Member, a Class B Member and or Class C Member, and, in such case, shall have the rights and obligation accorded to the Class A Ordinary Shares with respect to such Class A Ordinary Shares, the rights and obligations accorded to the Class B Ordinary Shares with respect to such Class B Ordinary Shares and the rights and obligations accorded to the Class C Ordinary Share with respect to such Class C Ordinary Share.

  • Any Manager may be removed or replaced without “Cause” at any time by a majority of the Board and each Manager may be removed and or replaced and the Board can be reconstituted for any reason by the Class C Member, if any.

  • Any advance distribution to a Member pursuant to this Section 7.2 shall offset an equal amount of distributions that would otherwise thereafter be made to such Member pursuant to Section 7.1 (or, in the case of the Class C Member, pursuant to Section 7.6).

  • For Class B and Class C, any Class B Member or Class C Member may recommend a Director Candidate to the Nominating Committee for its respective class.


More Definitions of Class C Member

Class C Member means any Member holding one or more Class C Units, in its capacity as such.
Class C Member means a Member holding Class C Units.
Class C Member means a Person designated as a Class C member of the Company pursuant to the terms of the operating agreement of the Company.
Class C Member means a Member holding Class C-1 Units or Class C-2 Units, as applicable, in its capacity as such, together with its Affiliates that hold Class C-1 Units or Class C-2 Units, as applicable (for the sake of clarity, such Member and such Affiliates shall be considered to be one (1) Class C Member).
Class C Member means each Person admitted to the Company as a Member and who holds Class C Common Shares.
Class C Member means any Member who joined the Scheme before 17 March 1987 or who joined subsequently and who the Board of Inland Revenue have agreed in writing to be a Class C Member by virtue of previous membership of a Relevant Scheme and, in either case, has not opted to become a Class A Member.
Class C Member includes CUSA, CPL and COPI, and any other Member to whom a Class C Member Transfers a Membership Interest in accordance with this Agreement; provided, however, that a Class C Member shall cease to be a Class C Member upon the Transfer of all of such Person's Membership Interest in accordance with this Agreement.
