Yield Differential definition

Yield Differential has the meaning set forth in Section 2.14(e)(iii).
Yield Differential shall have the meaning assigned to such term in Section 2.20(f).

Examples of Yield Differential in a sentence

  • In the event that the Owner chooses to sell the Company a Final Servicing Fee Rate that is less than the Gross Yield Differential, then the difference between the Gross Yield Differential and the Final Servicing Fee Rate shall be considered Excess Servicing and shall be paid to the Owner on the remittance date specified in any servicing agreement with a Subsequent Purchaser, to the extent it is received from the related Mortgagor.

  • To the extent that the Gross Yield Differential is less than the Final Servicing Fee Rate, Owner agrees to purchase such difference from the Company pursuant to the "downward adjustment" section of the Pricing Matrix.

  • If the margin above the Eurodollar Rate on any Revolving Facility Increase exceeds the Applicable Margin on the Revolving Credit Facility (the amount of such excess being referred to herein as the “Yield Differential”), then the Applicable Margin then in effect for the Revolving Credit Facility shall automatically be increased by the Yield Differential, effective upon the effectiveness of such Revolving Facility Increase.

  • The “all-in yield” for purposes of this Section 2.4(5) shall be calculated in a manner consistent with the Yield Differential pursuant to Section 2.14(5).

Yield Differential means, the result of (a) the interest rate applicable to any Incremental Increase, made pursuant to Section 2.14, minus (b) the interest rate applicable to the Loans as set forth in Section 2.08 (and the interest rates applicable to any Incremental Increase that was previously entered into pursuant to Section 2.14), minus (c) 50 basis points; provided that for all purposes of determining the applicable interest rates in accordance with this definition, such interest rate shall (x) when calculating the interest rate applicable to any Incremental Increase (i) take into account the interest rates, applicable margins and/or pricing grid (if any) applicable to each Incremental Increase, (ii) be deemed to include all upfront or similar fees or OID payable to all Incremental Lenders providing such Incremental Increase and (y) when calculating the interest rate applicable to the Loans as set forth in Section 2.08 (and the interest rate applicable to any Incremental Increase previously entered into pursuant to Section 2.14), take into account all upfront or similar fees or OID originally paid to the Lenders in connection with the initial syndication of the existing Facilities (including in connection with any amendments to the interest rates, Applicable Fee Rate or Applicable Rate on the Facilities that became effective subsequent to the Closing Date but prior to the Increase Effective Date) and (z) any arrangement, commitment, structuring, underwriting, amendment or other fees paid or payable in connection therewith or in connection with the existing Facilities to Agent or arrangers in their capacities as such that are not shared with all Incremental Lenders providing such Incremental Increase shall be excluded.
Yield Differential means, with respect to any Loans made pursuant to Section 2.17, (i) the Effective Yield applicable to such Loans, minus (ii) the Effective Yield applicable to the Loans, minus (iii) 50 basis points.
Yield Differential is defined in Section 2.05(b)(iii) hereof. The foregoing definitions shall be equally applicable to both the singular and plural forms of the defined terms. Any accounting terms used in this Agreement which are not specifically defined herein shall have the meanings customarily given them in accordance with generally accepted accounting principles in existence as of the Escrow Date.
Yield Differential means, with respect to any Incremental Term Loans and/or Revolving Loans made pursuant to Section 2.06(b), (i) the interest rate applicable to such Incremental Term Loans and/or Revolving Loans, as the case may be, minus (ii) the interest rate applicable to Tranche B Term Loans, as the case may be, set forth in Section 2.08, minus (iii) 50 basis points.
