Year 2000 Compliance definition

Year 2000 Compliance has the meaning set forth in section 17.29 of the Management Agreement.
Year 2000 Compliance means the functions, calculations, and other computing processes of the Service Area Network (collectively "Processes") that perform and otherwise process, date-arithmetic, display, print or pass date/time data in a consistent manner, regardless of the date in time on which the Processes are actually performed or the dates used in such data or the nature of the date/time data input, whether before, during or after January 1, 2000 and whether or not the date/time data is affected by leap years. To the extent any part of the Service Area Network is intended to be used in combination with other software, hardware or firmware, it will properly exchange date/time data with such software, hardware or firmware. The Service Area Network will accept and respond to two-digit year-date input, correcting or supplementing as necessary, and store, print, display or pass date/time data in a manner that is unambiguous as to century. No date/time data will cause any part of the Service Area Network to perform an abnormally ending routine or function within the Processes or generate incorrect final values or invalid results.
Year 2000 Compliance has a meaning correlative to the foregoing.

Year 2000 Compliance means, with regard to any person or entity, that all software, embedded microchips, and other processing capabilities utilized by, and material to the business operations or financial condition of, such person or entity are able to interpret and manipulate data on and involving all calendar dates correctly and without causing any abnormal ending scenario, including but not limited to all dates in and after the year 2000. The Borrower represents and warrants to the Bank and agrees that:
Year 2000 Compliance means that a product, when used in accordance with its associated documentation, is capable of correctly processing, providing and/or receiving date data within and between the twentieth and twenty-first centuries, provided that all products (for example, hardware, software and firmware) used with such product properly exchange accurate date data with it.

The sole and exclusive remedies for breach of the foregoing warranty by a party shall be (i) that party's use of commercially reasonable efforts to promptly correct or replace the functionality so that it complies with the terms of the warranty contained in this section, or (ii) termination of this Agreement by the non-breaching party upon thirty (30) days prior written notice."
