Working Capital Deficiency definition

Working Capital Deficiency means the amount by which the Working Capital Target exceeds the Working Capital.
Working Capital Deficiency has the meaning set forth in Section 1.7(a)(i).
Working Capital Deficiency means the absolute value of the amount by which Closing Date Working Capital is less than Base Working Capital, if at all.

  • If there is a Working Capital Deficiency Amount, Buyer shall cancel the specified number of escrowed Buyer Shares and issue a new original stock certificate for the remaining Buyer Shares (if any) at a per share price equal to the Issuance Price to be held for the purpose of securing any potential indemnification obligations of Seller and the Company referenced in Article VI.
