No transfer of any such shares in violation hereof shall be made or recorded on the books of WCP (or any transfer agent or registrar therefor) and any such transfer shall be null and void and of no force or effect.
Except as otherwise provided herein, the closing of each purchase and sale of Option Shares and any outstanding Options pursuant to this Agreement shall take place at the principal office of WCP on the 15th business day following delivery of the notice by either Party to the other of its exercise of the right to purchase or sell hereunder.
