Warrant Exercise Amount definition

Warrant Exercise Amount means, as to each Purchaser, the aggregate amount to be paid for Warrant Shares purchased hereunder as specified below such Purchaser’s name on the signature page of this Agreement and next to the heading “Warrant Exercise Amount,” in United States Dollars and in immediately available funds.
Warrant Exercise Amount means the product of the Fraction times 100% of the amount of cash received by Buyer or the Surviving Corporation upon a Warrant Exercise Event. (It is understood that net-exercise of a warrant will not be deemed to involve a Warrant Exercise Amount.)
Warrant Exercise Amount means, with respect to each exercise of the Warrant, the product of the Exercise Price (as defined in the Warrant) applicable to such exercise multiplied by the number of Shares purchased (or, if the Warrant is exercised pursuant to Section 3(B)(ii) thereof, the number of Shares actually issued plus the number of Shares withheld as payment of the Exercise Price for such purchased Shares) by the Warrantholder upon such exercise.

  • Promptly upon notifying the Purchaser of a change to the Maximum Warrant Exercise Amount or the Minimum Price, the Company shall file a Prospectus Supplement prior to the next Pricing Period.

More Definitions of Warrant Exercise Amount

Warrant Exercise Amount means, as adjusted from time to time pursuant to Section 4, such number of Series A-1 Preferred Shares, rounded to the nearest whole number, as equals the excess, if any, of (i) the Aggregate Consideration divided by the Diluted Per Share Price over (ii) the aggregate number of Series A-1 Preferred Shares which, under the Securities Purchase Agreement, the Holder agreed to purchase at the Tranche 1 Closing.
Warrant Exercise Amount is $1,935.48, which is determined pursuant to the Common Stock Purchase Warrant Agreements by multiplying the total number of warrants issued thereunder (193,548) times the Initial Exercise Price ($0.01 per share) as such term is defined under the Stock Purchase Warrant Agreements.
Warrant Exercise Amount means the amount equal to the number of Consideration Buyer Warrants being exercised multiplied by the Warrant Exercise Price;
