Warrant Amount definition

Warrant Amount. With respect to any Warrant Holder, the number of Call Warrants relating to Class A-1 Certificates and Call Warrants relating to the Class A-2 Certificates, held by such Warrant Holder.
Warrant Amount means, as to any particular Holder, the number of Warrants held by such Holder multiplied by the Exercise Price.
Warrant Amount with respect to each Warrant shall be an amount equal to (1) 1,644,736 less (2) the number of shares of Common Stock elected to be purchased in the Notice of Exercise with respect to the other Warrant being issued on the date hereof; provided, however, that (a) if both Toshiba and SanDisk elect to purchase more than 822,368 shares of Common Stock, then the Warrant Amount shall be an amount equal to 822,368; and (b) if either Toshiba or San Disk elects to purchase less than 822,368 shares then the Warrant Amount, in which case such lesser amount shall be the Warrant Amount for such party and the other party shall have the right but not the obligation to purchase the balance up to an aggregate of 1,644,736 shares. In no event shall the aggregate Warrant Amount purchasable by SanDisk and Toshiba collectively hereunder exceed 1,644,736.

Examples of Warrant Amount in a sentence

  • Any Global Call Warrant that is exchangeable pursuant to the preceding sentence will be exchangeable for Certificated Call Warrants of like tenor and Warrant Amount, as applicable, in any authorized denomination or denominations and registered in the names of such Person or Persons as the Depository shall direct.

  • The Registered Warrant Amount of Call Warrants may from time to time be increased or decreased by adjustments made on the records of the Trustee, as custodian for DTC for such Global Call Warrant, as provided in this Section.

  • If such exercise is in part only, the Warrant Agent shall (i) in the case of a Global Call Warrant, cause the Registered Warrant Amount to be decreased to reflect the outstanding Call Warrants of the Warrant Holder and (ii) in the case of a Certificated Call Warrant, instruct the Trustee to authenticate new Call Warrants of like tenor, representing the outstanding Call Warrants of the Warrant Holder, and the Warrant Agent shall deliver such Call Warrants to the Warrant Holder.

  • In connection with any exchange of beneficial ownership interests in a Global Call Warrant for Certificated Call Warrants pursuant to Section 2.3, the Warrant Agent shall reflect on its books and records the date of such exchange and a decrease in the Registered Warrant Amount of such Global Call Warrant in an amount equal to the Warrant Amount of the beneficial ownership interests in such Global Call Warrant being exchanged for Certificated Call Warrants.

  • The Closing for the second Tranche of $350,000 in Subscription Amount of Notes (to purchase an aggregate of $402,500 in principal amount of Notes) and Warrants to purchase an aggregate of number of shares of Common Stock equal to the Warrant Amount for such Closing will occur, at the option of the Company, within thirty (30) days of the occurrence of the receipt of comments from the Commission on the Company’s registration statement on Form S-1.


More Definitions of Warrant Amount

Warrant Amount means, with respect to any Closing, an amount equal to one hundred percent (100%) of the aggregate principal amount of Notes purchased by the Purchasers at such Closing divided by the initial Conversion Price of such Notes.
Warrant Amount means the Initial Warrant Amount or the Call Warrant Amount, as applicable.
Warrant Amount means Six Hundred Thousand United States Dollars (US $600,000).
