Voting Right means the right of a member of a company to vote in any meeting of the company or by means of postal ballot;

The Voting Rights of any Class of Certificates shall be allocated among Holders of Certificates of such Class in proportion to their respective Percentage Interests, except that any Certificate registered in the name of the Depositor, the Servicer, any Borrower, the Trustee, a Manager or any of their respective Affiliates shall be deemed not to be outstanding for purposes of giving any consent (unless such consent is to an action which would materially adversely affect in any material respect the interests of the Certificateholders of any Class, while the Servicer or any Affiliate thereof is the holder of Certificates aggregating not less than _____% of the Percentage Interest of any such Class). The aggregate Voting Rights of Holders of more than one Class of Certificates shall be equal to the sum of the products of each such Holder's Voting Rights and the percentage of Voting Rights allocated to the related Class of Certificates.
