Voting Party definition

Voting Party or “Voting Parties” shall have the meaning specified in the Preamble.
Voting Party means each of the Key Holders (as defined in the Voting Agreement) for so long as such Key Holder is a party to the Voting Agreement.
Voting Party means each of the Sponsor, the Engaged Capital Investors, Xxxxxx Best and the NCH Equityholders.

  • This Agreement constitutes a valid and binding obligation of Voting Party enforceable in accordance with its terms, except as enforcement may be limited by applicable bankruptcy, insolvency, reorganization, moratorium or similar laws affecting creditors’ rights generally and by general principles of equity (regardless of whether considered in a proceeding in equity or at law).

  • If Voting Party is a trust, no consent of any beneficiary is required for the execution and delivery of this Agreement or the consummation of the transactions contemplated hereby.

More Definitions of Voting Party

Voting Party means any Stockholder, or any person or entity who has acquired Seller Shares from such Stockholder and, therefore, becomes a party to this Agreement in accordance with Sections 2.1(a) and 6.3 of this Agreement.

Except as otherwise expressly provided herein, all terms of an accounting or financial nature shall be construed in accordance with GAAP, as in effect from time to time; provided that, if ITT ESI notifies the Secured Party that ITT ESI requests an amendment to any provision hereof that relates to computation of a Trigger to eliminate the effect of any change occurring after the date hereof in GAAP or in the application thereof on the operation of such provision, regardless of whether any such notice is given before or after such change in GAAP or in the application thereof, then such provision shall be interpreted on the basis of GAAP as in effect and applied immediately before such change shall have become effective until such notice shall have been withdrawn or such provision amended in accordance herewith.
Voting Party means any of the Parties other than the Coordinator, XXXXXX and other named parties to be determined.
Voting Party and “Voting Parties” means individually or collectively the Ministry and E.ON. [“VSEH” or “ServiceCo”] shall mean Východoslovenská energetika Holding a.s., a joint- stock company organized and existing under the laws of the Slovak Republic with its registered seat at Xxxxxxx 00, 000 00 Xxxxxx, Xxxxxx Xxxxxxxx, Business Identification No. (IČO): 36 211 222, registered in the Commercial Register maintained by District Court Košice I in Section Sa, Insertion No. 1203/V.
Voting Party means (1) while the Indenture remains in effect, (a) the Guarantor, unless and until the Servicer receives notice from the Secured Party that the Guarantor is no longer the Voting Party under the Indenture, and (b) after receipt by the Servicer of the notice described in clause (a), the Secured Party, and (2) after the discharge of the Indenture, the Trust.
