Each of the Voting Parties and the Company agree not to take any actions that would materially and adversely affect the provisions of this Agreement and the intention of the parties with respect to the composition of the Company’s Board of Directors as herein stated.

Voting Parties means Noteholders that are entitled to vote at the Senior Secured Noteholders’ Meeting or the Junior Noteholders’ Meeting, respectively.
