Vencor any corporation, limited liability company, partnership or any other legal entity or organization in which Vencor, Inc. (or any of its subsidiaries or affiliates): (a) controls the day-to-day operations; (b) directly or indirectly owns greater than 50% of the vote equity or has other controlling interest; or (c) has a management or billing contract or arrangement to provide management or administrative services. The terms of this CIA shall apply to such management or billing contracts or arrangements to the extent of the responsibility undertaken pursuant to each contract or arrangement.
Vencor means the Delaware corporation which is named "Vencor Healthcare, Inc." on the date hereof and will be renamed "Vencor, Inc." on the Closing Date, and its successors.
