Each Obligor is an entity duly organized, validly existing and, with respect to the US Obligors and Canadian Obligors, in good standing under the laws of the jurisdiction of its organization or incorporation (other than, in the case of Obligors that are not Borrowers, in such jurisdiction in which the failure of any such Obligor to be so qualified would not reasonably be expected to have a Material Adverse Effect).
Monies and proceeds obtained from a US Obligor shall not be applied to its Excluded Swap Obligations, but appropriate adjustments shall be made with respect to amounts obtained from other US Obligors to preserve the allocations in any applicable category.
