U.S. Affiliate definition

U.S. Affiliate means the U.S. registered broker-dealer affiliate of an Underwriter;
U.S. Affiliate means an Agent’s duly registered broker-deal affiliate in the United States;
U.S. Affiliate of any Agent means the U.S. registered broker-dealer affiliate of such Agent that makes offers of the Subscription Receipts to, or for the account or benefit of, persons in the United States or U.S.

  • Notwithstanding the foregoing provisions of this section, an Agent will not be liable to the Corporation under this section or Schedule "A" with respect to a violation by another Agent or its U.S. Affiliate(s) of the provisions of this section or Schedule "A" if the former Agent or its U.S. Affiliate, as applicable, is not itself also in violation.

U.S. Affiliate means an affiliate lo- cated in the United States in which a foreign person has a direct investment.
