U.S. Affiliate definition

U.S. Affiliate means an Agent’s duly registered broker-deal affiliate in the United States;
U.S. Affiliate means a duly registered U.S. broker-dealer affiliate of an Underwriter;
U.S. Affiliate of any Underwriter means the U.S. registered broker-dealer affiliate of such Underwriter;

  • Failure to deliver such a certificate shall constitute a representation by such Agent and such U.S. Affiliate, if applicable, that neither it nor anyone acting on its behalf has offered Offered Units for sale by the Company to, or for the account or benefit of, persons in the United States or U.S. Persons.


More Definitions of U.S. Affiliate

U.S. Affiliate means the U.S. registered broker-dealer affiliate of an Underwriter;
U.S. Affiliate of any Agent means the U.S. registered broker-dealer affiliate of such Agent; and
U.S. Affiliate means, with respect to a Person, an Affiliate of such Person which Affiliate is a U.S. person (or an entity disregarded as separate from such U.S. person) for U.S. federal income tax purposes.
