Uplist definition

Uplist. Means the effective date of the Company’s uplist of its common stock to a national exchange (e.g., Nasdaq or NYSE).
Uplist means the public offering of Common Stock pursuant to a registration statement on Form S-1 (the “Uplist S-1”) that results in the listing of the Common Stock on any securities exchange registered with the Commission as a “national securities exchangeunder Section 6 of the Exchange Act.”
Uplist means the public offering of Common Stock pursuant to a registration statement on Form S-1 (the “Uplist S-1”) that results in the listing of the Common Stock on any of the Nasdaq Global Market, Nasdaq Capital Market, New York Stock Exchange, or NYSE American.

Examples of Uplist in a sentence

  • Notwithstanding the foregoing, no adjustment shall occur under this Section 2(b) with respect to the Uplist Offering.
