In consideration for the Investor’s execution and delivery of this Agreement, the Company shall pay the Upfront Commitment Fee to the Investor in the form of 2,500,000 shares of Common Stock and the remainder in the form of a pre-funded warrant to purchase a further 2,500,000 shares of Common Stock, in the form of Exhibit B hereto, simultaneous with the Closing.
In consideration for the Investor’s execution and delivery of this Agreement on or prior to the end of the Trading Day following the execution of this Agreement, the Company shall pay to the Investor the Upfront Commitment Fee in the form of shares of Common Stock and the pre-funded warrant to purchase up to a further 2,500,000 shares of Common Stock.
For the avoidance of doubt, the entire amount of the Upfront Commitment Fee shall be fully earned by the Investor and shall be non-refundable, regardless of whether any VWAP Purchases are made or settled hereunder or any subsequent termination of this Agreement.
On or prior to the end of the Trading Day immediately following the execution of this Agreement, the Company shall have paid the Upfront Commitment Fee by issuance of shares of Common Stock and a pre-funded warrant, all of which Upfront Commitment Fee shall be fully earned and non- refundable as of the date of such payment, regardless of whether any VWAP Purchases are made or settled hereunder or any subsequent termination of this Agreement.
