Unused Facility Fee definition

Unused Facility Fee has the meaning specified in Section 2.09(a).
Unused Facility Fee. A fee, as set forth in the Transactions Terms Letter or otherwise indicated on Buyer’s then current schedule of fees, payable by Seller quarterly in arrears based upon the unused portion of the Aggregate Transaction Limit; provided, however, that no fee shall be due if the average difference between the Aggregate Transaction Limit and actual outstanding principal amount of all Transactions, calculated on a daily basis, during such quarter is less than that percent of the Aggregate Transaction Limit set forth in the Transactions Terms Letter.
Unused Facility Fee is defined in Section 3.4(b).

Examples of Unused Facility Fee in a sentence

  • For each calendar quarter during the Availability Period, Borrower shall pay to the Lenders (ratably, based on relative unused Committed Amounts) an Unused Facility Fee.

  • For each calendar quarter during the Availability Period beginning on January 1, 2022, the Borrowers shall pay to the Lender an Unused Facility Fee.

More Definitions of Unused Facility Fee

Unused Facility Fee has the meaning given to such term in Section 2.5.1.
Unused Facility Fee has the meaning ascribed to such term in the Pricing Side Letter.
