Unqualified definition

Unqualified means without any material qualification (i) resulting from a limitation on the scope of examination of such financial statements or the underlying data, (ii) as to the capability of a Company to continue operations as a going concern or (iii) which could be eliminated by changes in financial statements or notes thereto covered by such report (such as by the creation of or increase in a reserve or a decrease in the carrying value of assets) and which if so eliminated by the making of any such change and after giving effect thereto would result in an Event of Default.
