Units Offering means the Company's offering, which is simultaneous with the offering of Preference Shares and Preference Warrants, of 256,800 units consisting of 14 1/2 % Senior Discount Notes due 2009 and 1,207,200 warrants to purchase 1,813,665 shares of common stock. Capitalized terms used herein but not defined shall have the meaning ascribed thereto in the Preference Warrant Agreement.
