Union Plan definition
Union Plan means an employee welfare benefit plan governed by the provisions of the federal Employee Retirement Income Security Act of 1974 (29 U.S.C. Sec. 1001 et seq.) in which an employee organi- zation participates and that exists for the purpose, in whole or in part, of dealing with employers concerning an employee welfare benefit plan.
Union Plan means any benefit plan maintained or administered by a union to which the Company is a party.
Union Plan shall have the meaning ascribed thereto in Section 4.1 of this Agreement.

All benefits, contributions and premiums required by and due under the terms of each Seller Benefit Plan, Company Benefit Plan (other than any Union Plan) or applicable Law have been timely paid or accrued in material compliance with the terms of such Benefit Plan, the terms of all applicable Laws and GAAP.
With respect to any Seller Benefit Plan or Company Benefit Plan (other than any Union Plan), no event has occurred or is reasonably expected to occur that has resulted in or would subject the Company to a Tax under Section 4971 of the U.S. Tax Code or the assets of the Company to a lien under Section 430(k) of the U.S. Tax Code.

Union Plan means the defined contribution plan described on Schedule 5.15(g) hereof.
