Unexpected Event definition

Unexpected Event means in relation to a party:
Unexpected Event means any event that may cause the State to vary the Vehicle Registration Scheme.
Unexpected Event means any act, circumstance or event beyond the control of Tracy Ryan Photography caused or arising from but not limited to acts of God, public enemies, government restraint, riots, strikes, lockouts, labour troubles, epidemic, civil disturbances, perils of rivers or navigable waters, fuel shortages or abrupt and unexpected increases in fuel costs, collisions, stranding, fire, lightning, storm, cyclones, theft, barratry or crime by any person, faults or errors of navigation, management of boats, planes, fault or neglect of pilots, crew, independent contractors.

Unexpected Event means any act, circumstance or event beyond the control of the carrier caused or arising from but not limited to acts of God, public enemies, government restraint, riots, strikes, lockouts, labour troubles, epidemic, civil disturbances, perils of the sea, harbours, rivers or other navigable waters, fuel shortages or abrupt and unexpected increases in fuel costs, collisions, stranding, fire, lightning, storm, rough and adverse sea conditions, tidal waves, cyclones, theft, barratry or any other crime by any person, faults or errors of navigation or management of the Ship or any other vessel, explosions, breakage of shafts or any defect or unseaworthiness in hull, machinery or appurtenances, equipment, furnishings or supplies of the Ship or launches or vehicles or any defect of the carrier’s premises, fault or neglect of pilots, tugs, crew, agents or independent contractors, port closures, delays in allocation and permits to berth the Ship at ports on arrival and seizure of the Vessel under legal process.
Unexpected Event means any circumstance beyond the reasonable control of a Party which results in that Party being unable to perform an obligation on time, and includes, but is not limited to: natural events like fire, storm, flood, landslide, washaway or earthquake; national emergency; terrorist act; war; or an order of any Court.

Unexpected Event means, on a country by country basis: (i) a regulatory activity by the FDA (or relevant governmental entity) which either changes the label from the initially approved label or issues a warning or takes any other materially adverse action with respect to the the Licensed Product or Licensed Method is classified, and which would reasonably be expected to have a material and adverse effect on the Licensed Product, (ii) an infringement action by a Third Party against Company with respect to the Licensed Product or Licensed Method which, if successful, would prohibit the Sale, manufacture or use of the Licensed Product, or (iii) an Adverse Experience (as defined in set forth in 21 C.F.R. §§314.80 and 312.32) occurs with the Licensed Product, the intensity or frequency of which materially exceeds that known for equivalent products, in each case of clauses (i), (ii) or (iii) only so long as the foregoing were not under Company’s control, and it is acknowledged that the obligation of Company to develop or market any such Licensed Product or Licensed Method may be delayed or suspended so long as such Unexpected Event exists; provided, however, Company shall use Commercially Reasonable Efforts to remedy such event or mitigate the consequences of such event and Georgetown and Company will renegotiate replacement dates in good faith. In such an event, Company shall timely notify Georgetown of the occurrence of an Unexpected Event pursuant to Section 5.5. Notwithstanding anything to the contrary in the foregoing, an Unexpected Event shall not affect the obligation of Company hereunder with respect to any Licensed Product or Licensed Method in Licensed Territories and Licensed Fields not affected by Adverse Event.
Unexpected Event refers to any event occurring incidentally because of reasons not attributable to either Party’s deliberate act or negligence. Such events include, but are not limited to, any traffic jams, flight/train delays, temporary closures of tourist attractions, and other circumstances caused by important Concierge activities. “意外事件”,指因任何一方故意或者过失以外的偶然因素引发的事件,包括但不限于重大礼宾活动导致的交通堵塞、列车航班晚点、景点临时不开放等。
