Underwriters’ Representative definition

Underwriters’ Representative means the managing underwriter, or, in the case of a co-managed underwriting, the managing underwriter designated as the Underwriters' Representative by the co-managers.

Examples of Underwriters’ Representative in a sentence

• If any Holder of Registrable Securities (other than the Initiating Holder(s)) disapproves of the terms of the underwriting, such Holder may elect to withdraw therefrom by written notice to the Fund and the Underwriters’ Representative proposing to distribute their securities through the underwriting, delivered at least twenty (20) days prior to the effective date of the Registration Statement.

• Neither the Client nor the Bank may assign its rights and obligations under this Agreement without the prior written consent of the Underwriters’ Representative.
