The Purchaser understands that the Debentures and the Underlying Units may not be sold, transferred or otherwise disposed of without registration under the Securities Act or an exemption therefrom, and that in the absence of an effective registration statement covering the Debentures or the Underlying Units or an available exemption from registration under the Securities Act, the Debentures and the Underlying Units must be held in accordance with the requirements of Regulation Crowdfunding.
The Company shall honor exercises of the Warrants and conversions of the Notes and shall deliver Underlying Units in accordance with the terms, conditions and time periods set forth in the Transaction Documents.
The Purchaser understands that no public market now exists for any of the securities issued by the Company (including but not limited to the Debentures or the Underlying Units) and that there is no assurance that a market for their resale will ever exist.
Purchaser also understands that the Debentures and the Underlying Units are being offered and sold pursuant to an exemption from registration contained in the Securities Act based in part upon Purchaser’s representations contained in this Purchase Agreement.
The Purchaser agrees and acknowledges that if the Debentures held by it are converted into Underlying Units, the Purchaser will enter into any and all documents reasonably requested by the Company.
